Energizer is seeking an experienced and motivated Corporate Governance Professional to be responsible for Energizer’s subsidiaries across the globe. Responsibilities Universal Accountabilities Ability to work independently and collaboratively in a fast-paced environment Motivation and ability to prioritize amongst many tasks of competing importance Organization and strong attention to detail Integrity and trustworthiness Customer focused Specific Accountabilities This role will have primary responsibility for the governance and compliance activities of Energizer’s legal entities. This position involves working with internal stakeholders and external service providers across the globe. This position is expected to contribute to the success of the Company by combining corporate governance expertise with operational excellence. The role requires an individual who pays close attention to detail and drives tasks to completion, while simultaneously understanding Energizer’s operations and strategic goals. Specific responsibilities include: Creating, maintaining current, and dissolving Energizer’s global legal entities, including preparing and/or filing (or directing and overseeing the preparation and/or filing of) formation and governing documents, resolutions and written consents, statutory financials and annual compliance, director & officer appointments and resignations, and other corporate records for domestic and foreign subsidiaries. Ensuring Energizer’s entity management system contains an accurate record of the Company’s global subsidiaries, including registered address, ownership, directors and officers, powers of attorney, and other corporate information for all subsidiaries. Maintaining worldwide corporate structure charts and global subsidiary lists. Managing Energizer’s legal entity service provider, local representatives and directors, and corporate agents that the Company engages within and outside the United States. Assisting cross-functional teams involving Legal, Finance, Tax and Treasury representatives on a variety of matters that involve legal entities including dividends and capital contributions, intercompany loans, internal restructurings, issuing powers of attorney, responding to KYC requests, and assisting with bank signatory appointments and removal. Designing, developing, refining, and simplifying processes by recommending and implementing systems and process changes to increase efficiency, support scalability, and ensure quality. Other duties as assigned. What we are looking for Required Skills and Experience Bachelors Degree or higher 3+ years of corporate professional experience at a Big 4 Accounting Firm, large law firm and/or multinational company managing global subsidiaries Proficiency with legal entity governance and compliance Strong written and oral communication skills Fluent in English Working Relationships Reports to Associate Manager, Global Subsidiaries Key relationships internally will include Legal, Finance, Tax, and Treasury Work Environment Hybrid Will consider Remote candidates Come join us!
