Excellent Benefits Package Medical, Dental, and Vision Insurance Life and Disability Insurance PTO - Paid time off On-site FREE medical center 403b retirement plan Salary: Competitive salary based on education / experience Job Summary The Assistant Counsel will handle a wide-range of legal responsibilities, as assigned and supervised by the SEVP/COLO, for Woods System of Care, its affiliates and related entities (the “Organization”). Provides general legal services to support the Organization’s various business operations and functions including specifically Healthcare, regulatory and transaction matters. Assists the SEVP/COLO with managing the Organization’s legal risk in various areas of law (including contracts, litigation management, administrative law, employment law, education law, real estate, corporate and mergers and acquisitions). Assists in managing Organization policies and procedures and the Organization’s record retention program. Assists in managing and assisting outside counsel in litigation matters and coordinate internal requirements in connection with litigation. Assists in and take responsibility for drafting and negotiating legal documents of all types. Drafts, negotiates, reviews, analyzes and interprets multiple contracts, MOUs and term sheets. Researches and interpret laws, court decisions, ordinances, and other legal authorities as needed to deliver the foregoing services. Provides legal advice and support to Organization leadership and senior management, as requested. Law degree from an ABA accredited law school and a very strong academic background (top 20% of class preferred). Membership on Law Review a plus. Admitted to and a member in good standing of the New Jersey and Pennsylvania Bars. 7+ years of law practice experience with an emphasis on real estate and corporate law; experience with civil litigation and health care law a plus. Excellent verbal and written communication skills. Two writing samples must be submitted. Ability to analyze complex legal issues and provide recommendations for well- reasoned, practical solutions and alternatives. Ability to identify legal risks and develop plans to reduce the chance of occurrence and/or exposure. Strong work ethic and enthusiasm for taking on a wide range of projects and responsibilities. Demonstrated ability to work effectively under pressure when facing short deadlines. Ability to partner well with colleagues both in and outside of the Organization. Ability to work independently and to undertake supervisory responsibilities as needed. Willingness to work primarily in person in main office in Langhorne, PA with some remote work flexibility and some travel to affiliate locations in PA and NJ. Must be able to lift a minimum of 50-lbs. Moderate physical activity.
