Assistant General Counsel - Commercial Legal

**Job Summary**
The Assistant General Counsel will report to Compucom’s Associate General Counsel – Commercial Legal and will provide legal services to clients at various levels in the company, assist with customer transactions, prepare, negotiate and approve complex legal documents, and research and resolve legal issues involving commercial agreements and relationships. Manages legal business matters pertaining to the organization and provides legal advice and counsel in support of business activities and commercial transactions. Has responsibilities for managing contracting and other legal processes, compliance counseling and reporting, and other administrative matters. Researches and interprets existing laws and regulations and anticipated changes to laws to guide informed decisions and reduce risk. Additionally, Assistant General Counsel may coordinate with outside counsel to address issues requiring specialized legal input.
**_The qualified candidate must have experience with complex contracts and at least 7 years of legal experience in the legal department of an IT services or technology company, or in a law firm that supports such companies._**
**Duties and Responsibilities**
+ Help drive new and existing customer account engagements to closure as part of an integrated commercial team
+ Act an advisor to internal business clients relating to customer and vendor relationships and contracts for IT-related services and products. Lead negotiations with, and represent the company in dealings and disputes with, customers and vendors
+ Draft, review, redline, negotiate and approve complex contracts in connection with a wide variety of customer engagements relating to IT services and products, including OEM products and services, software licensing, Software as a Service (SaaS), managed services, professional services, subcontract labor and non-disclosure agreements
+ Provide guidance to internal business units on agreements based on company policies and procedures
+ Provide guidance and mentoring to contract and other specialists
+ Manage contracting processes and process documentation; Collaborate with business clients and Legal team members to identify opportunities for process improvements and the implementation thereof
+ Maintain task list and monitor deadlines in a high-volume, fast-paced environment
+ Manage and supervise more junior personnel
+ Other duties or tasks as may be assigned
**Basic Qualifications**
+ Juris Doctor degree from an ABA accredited law school and admission to practice law in a U.S. jurisdiction
+ 7+ years law experience working in the legal department of an IT services or technology company or a law firm supporting such companies
+ Combination of law firm and in-house experience preferred.
+ Extensive experience drafting, reviewing, and negotiating commercial contracts
+ English language

+ Ability to read, analyze and interpret complex legal and business documents; Strong attention to detail
+ Well organized with a strong sense of priority, urgency, and commitment to deadlines
+ Ability to manage workload and prioritize multiple tasks
+ Strong interpersonal skills – must be able to build relationships and work collaboratively with sales, solutioning, and delivery executives as well as members of the Legal department
+ Experience with online contracting systems
+ Strong computer skills, including proficiency with Microsoft Office tools (Word, PowerPoint & Excel)
