The U.S. Bank Law Division is seeking an experienced attorney to join the Capital Markets Legal Team to support the U.S. Bank provisionally-registered swap dealer. This attorney will provide transactional and regulatory legal advice to the Derivative Products Group (includes Commodity Derivatives and Interest Rates Derivatives Business Units), the Foreign Exchange Group and Corporate Treasury, among others. The attorney will provide a critical support function, advising internal clients and relevant support partners (credit, compliance, leadership, operations and other risk management functions) in the establishment of policies and procedures for USBNA when engaged in derivative and foreign exchange transactions and services. The position offers candidates a career with exposure to a variety of legal issues and the opportunity to support and help build the foundation for a growing business unit, while collaborating with various departments and individuals at U.S. Bank.

 

RESPONSIBILITIES

- Advise business units and other support partners regarding relevant swap dealer and banking laws, regulations and related risks

- Actively participate in line of business projects, e.g. new and modified products, regulatory change

- Support business lines (front to back) during a period of growth and expansion on an international basis

- Draft swap dealer templates and review and advise documentation negotiators, credit and confirmations teams with respect to derivatives documentation and related agreements in real-time

- Stay abreast of relevant market, legal and regulatory developments

- Become familiar with evolving U.S. Bank policies and procedures that impact all aspects of fixed income business lines including trading, sales, technology and operations.

 

ADDITIONAL RESPONSIBILITIES MAY INCLUDE

- Review agreements with third-party providers of technology and other services and vendors

- Review loan documentation and related documentation for swap terms

- Participate in trade group working groups on relevant matters

Location Expectations

The role offers a hybrid/flexible schedule, which means there's an in-office expectation of 3 or more days per week and the flexibility to work outside the office location for the other days. 

Basic Qualifications
- Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority

Preferred Skills/Experience

- At least 8 years of material, relevant experience as an attorney in a law firm and/or as in-house counsel supporting commodity derivatives, interest rate derivatives and/or foreign exchange transactions and services

- Significant experience supporting and providing meaningful legal guidance to provisionally-registered swap dealer(s)

- Advanced knowledge of derivatives laws and regulations (primarily CFTC regulations)

- Advanced knowledge of swap dealer laws and regulations within the U.S. and some familiarity with cross border issues and dealing in foreign jurisdictions

- Experience with derivatives documentation (including advanced level handling of ISDA® agreements, protocols, supplements, confirmations and definitions)

- Knowledge of bank regulatory laws and regulations (deposit taking, payments, data privacy/AML, Volcker, swap margining)

- Experience with online trading platforms, global technology initiatives

- Excellent analytical, decision-making and problem-solving skills

- Excellent written, verbal, and interpersonal communication skills

- Confidence and efficiency in reviewing swap documents, loan agreements, related documentation and legal drafting

- Ability to collaborate confidently and effectively with a diverse range of stakeholders, including senior leaders

- Ability to assess risks and provide thoughtful advice in a fast-paced environment

The salary range reflects figures based on the primary location, which is listed first. The actual range for the role may differ based on the location of the role. In addition to salary, U.S. Bank offers a comprehensive benefits package, including incentive and recognition programs, equity stock purchase 401(k) contribution and pension (all benefits are subject to eligibility requirements). Pay Range: $149,515.00 - $175,900.00 - $193,490.00
