In the Role
Lead and manage legal aspects of asset-backed securitization and financing transactions, including drafting and negotiating transaction documents such as private placement memoranda, servicing agreements, and indentures for OneMain’s consumer loan, auto and credit card platforms.Identify and relay issues to deal team/internal stakeholders for discussion and resolution.Assist with the legal deal process from pre-closing through post-closing activities, including ongoing management of transaction documents post-close.Stay informed of changes to relevant law and regulations and advising legal team and capital markets team about any impact to the business.Provide clear and concise guidance to business units, including finance, legal, treasury and operations teams, particularly on novel and complex legal issues.Provide legal support for other finance transactions presented by the capital markets team, ensuring alignment with business objectives and compliance requirements.Manage relationships with external counsel, ensuring high-quality and cost-effective legal support.Willingness and desire to assist with corporate governance matters and general corporate transactions and support other projects for the legal department as necessary.Requirements
Juris Doctor (JD) from an accredited law school and admission to at least one state bar.Minimum of 4+ years of experience in structured finance, with a focus on asset-backed securitizations, preferably at a top law firm or in-house legal department.Comprehensive knowledge of securitization laws, regulations, and market practices.Strong drafting, negotiation, and analytical skills.Excellent communication and interpersonal skills, with the ability to work effectively with cross-functional teams.Detail-oriented with strong organizational and project management skills.Ability to thrive in a fast-paced and operate independently in a fast-paced environment.Location: Baltimore, MD
