Job Summary:
This position is for a commercial in-house counsel generalist. The selected applicant will provide legal support and counsel to multiple business units and entities with a focus on identifying and mitigating legal risks and providing sound advice to corporate entities, with a focus on business transactions and the review and negotiation of various contracts related to supply chain, sales, fleet management, distribution, construction, real estate, and professional services.
Duties and Responsibilities:
Review, draft and negotiate a broad range of commercial contracts, including but not limited to supplier, customer, national accounts distribution, sales, professional services, confidentiality, real estate, and license agreements. Provide necessary legal support to the procurement team during the competitive sourcing process. Serve as an in-house advisor, anticipating legal concerns and risks; offering solutions to mitigate such risks, and escalating, as appropriate, legal and business issues that arise in the performance of duties. Draft and manage standard contract forms and templates and novel agreements. Represent the company in contract dispute negotiations. Manage outside counsel as appropriate. Perform all other duties and special projects as assigned.
Knowledge, Skills and Abilities:
Exceptional analytical skills, integrity, and judgment regarding both legal and business issues. Excellent negotiating, drafting, issue spotting, and problem-solving skills. Excellent interpersonal and communication skills to support senior management and operations personnel, and ability to effectively collaborate with others. Detail-orientation and ability to manage multiple contracts and projects simultaneously in a fast-paced and high-output environment. Strong work ethic, personal accountability, and initiative.
Education and Experience Required:
Juris Doctor Law 3-4 years commercial legal experience Member of a state bar (preferably Pennsylvania) in good standing. Specific experience with energy matters preferred
