Position SummaryUnder direction of the General Counsel, provides legal and regulatory counsel to Moda Health business units and subsidiaries assigned, and provides legal support with respect to corporate transactions and other strategic initiatives. This is a full-time hybrid position based in Portland, Oregon. Pay Range$128,858.77 - $164,296.49 annually.Actual pay is based on qualifications. Applicants who do not exceed the minimum qualifications will only be eligible for the low end of the pay range.

Required Skills, Experience & Education:
+ J.D. and membership with the Oregon State Bar.
+ Minimum of three to five years of legal experience, including corporate transactional experience.
+ 5 years of experience in the healthcare industry and/or in regulatory compliance.
+ Knowledge of legislative and regulatory processes.
+ Knowledge regarding ERISA (including DOL and HIPAA) laws and other health insurance related laws and guidelines in addition to Department of Insurance regulations.
+ Proficient in Microsoft Office applications.
+ Strong organizational, analytical, problem-solving, decision making, and project management skills.
+ Ability to communicate effectively, both orally and in writing.
+ Ability to work well under pressure with frequent interruptions and shifting priorities.
+ Knowledge of the principles and procedures of legal research.
+ Ability to create, compose and edit legal documents, plan documents, and other written materials.
+ Demonstrated flexibility and strong interpersonal and consultative skills.
+ Ability to deal tactfully with diverse people, situations, and ideas.
+ Maintain confidentiality and project a professional business image.
Primary Functions:
+ Provides legal and regulatory advice, guidance, and support to various internal business units on a broad range of issues, including corporate transactions and contracting matters.
+ Anticipates and identifies critical legal and regulatory issues and, as appropriate, works with supervisor, to develop legal and regulatory strategies and solutions.
+ Counsels senior management on strategic business initiatives.
+ Negotiates, drafts, and reviews contracts and documents within legal and regulatory areas.
+ Researches and analyzes laws and regulations and provides counsel and/or drafts summary memos as required.
+ Manage insurance procurement and claims, including but not limited to claims involving managed care liability, general liability, and cyber security.
+ Supports corporate governance activities, including assisting in the preparation for board and committee meetings and advising senior officers on a wide range of governance matters.
+ Discusses and presents information at senior management meetings.
+ Establishes and maintains effective working relationships with internal customers at all levels in the organization as well as external stakeholders and government agencies, including state insurance divisions.
+ Effectively manages outside counsel, including litigation counsel, where appropriate.
+ Maintains professional growth and development through seminars, workshops, and professional affiliations.
+ Supervise compliance staff to ensure timeliness and accuracy of work performed.
+ Other duties as assigned
Working Conditions & Contact with Others
+ Office environment with extensive close PC and keyboard work, constant sitting, and phone work. Must be able to navigate multiple screens. Work in excess of 40 hours per week, including evenings and occasional weekends, to meet business need.
+ Internally with multiple departments. Externally with legal counsel, state insurance divisions, other State and Federal Government agencies, and other stakeholders
