Primary Purpose of Position:
Provide advice and counsel with respect to transactional and other legal matters handled in the Region (and other BXP offices on an as-needed basis) to assure consistency with and advancement of BXP’s business objectives.
Essential Functions:
Transactions
Analyze, structure, draft and negotiate (independently and in coordination with senior in-house or outside counsel) acquisition, disposition, financing, and joint venture agreements; coordinate negotiations with internal BXP teams; participate in due diligence reviews in connection with such transactions; work independently to coordinate the closing of such transactions and maintain records of such transactions. Analyze, structure, draft, and negotiate leases for Class A office and retail space; oversee the work of outside counsel on leases; monitor requirements, and as necessary obtain lender and partner approvals for lease transactions; negotiate subordination, non-disturbance, and attornment agreements; collaborate with internal BXP corporate departments to assure lease provisions satisfy internal BXP policy requirements; and negotiate brokerage commission agreements with outside brokers. Work with the BXP regional construction and development teams, senior in-house counsel, and outside counsel to structure and negotiate construction and consultant agreements with general contractors, architects, engineers, and other related design-service providers. Analyze, structure, draft and negotiate agreements in conjunction with the regional property management teams for provision of services to the buildings, including telecommunications licenses, property management service contracts, and other property and transaction related matters.
Legal Counsel
Advise Company officers and staff on matters of state and local law; keep current with recent developments; advise regarding potential impacts to the Company. Provide advice to property management, accounting, risk management, tax, construction, development, leasing, and marketing staff with respect to a wide variety of matters, including (i) interpretation of leases, such as allocation and calculation of costs payable by tenants, rights of tenants to expand or contract, and obligations for repair or restoration after casualty or upon lease termination, (ii) transition issues for newly acquired properties, (iii) interpretation of contractual obligations, (iv) third-party management issues, (v) compliance with governmental obligations, and (vi) amenity centers. Provide legal advice on litigation and collections/bankruptcy matters; draft default notices; work with SVP, Regional General Counsel and/or outside counsel on litigation matters and collections/bankruptcy litigation.
General
Confer with SVP, Regional General Counsel and other regional officers and managers to determine business and legal objectives for specific BXP transactions and to assure that such objectives are achieved. Participate in assuring the compliance of regional activities with corporate policies and legal requirements, including due diligence for quarterly certifications on entities, litigation and environmental matters, related party transactions, and SEC filings; and assist in providing accurate information for reports to the Board of Directors on particular matters, as requested. Together with SVP, Regional General Counsel and regional officers and managers on matters at issue, select and engage outside counsel to work on specific matters; manage the work of outside counsel on assigned matters (including review and approval of legal invoices, monitoring of costs, etc.). Effectively manage people and projects, including allocation of resources, establishment of priorities, and delegation of work with clear directions. Perform other duties as assigned by the SVP, Regional General Counsel.
Region-Specific Functions:
Draft and revise agreements and other documents as necessary to comply with BXP, state, and local requirements.
Requirements and Qualifications:
BS/BA degree and Juris Doctor degrees required. Admission to practice of law in the applicable state required. A minimum of 5 years of progressively responsible and relevant work experience. Ability to provide consistent, high-quality legal analysis and advice. Ability to produce a significant volume of work, which meets established business goals and standards, schedules and client expectations. Ability to learn continuously by actively improving skills and expanding knowledge, effectively utilizing electronic and technical resources, and accepting feedback to improve processes and procedures. Demonstrated leadership qualities, including the ability to act decisively and timely, manage outside counsel, and adherence to BXP’s Code of Business Conduct and Ethics and the legal profession. Ability to interact with co-workers, contractors, vendors, tenants and outside attorneys in an articulate, courteous, and professional manner always. Ability to work under pressure. Ability to work effectively both independently and as part of a team. Ability to move complex transactions and/or litigation to resolution. Working knowledge of Microsoft Word. Travel may be required locally or to other regional offices on a limited basis. Flexibility with schedule and ability to work beyond regularly scheduled business hours.
Physical Requirements:
Involves work of a general office nature usually performed sitting such as operating a computer. Involves work of a general office nature usually performed standing as such operation of a fax and printer. Involves movement between departments to facilitate work.
Internal and External Contacts:
Interacts extensively with all levels of employees within BXP and with outside counsel, tenants, joint venture partners, brokers, contractors, vendors, industry organizations, and public officials.
Reporting Structure:
Works closely with the other members of the Legal department in the Regional Office and reports directly to the Senior Vice President, Regional General Counsel.
Salary Range:
$158,000 - $229,000. BXP offers a competitive total rewards package including base salary and annual discretionary bonus.
