Associate Director (AD), Corporate Counsel
**Description** The Associate Director (AD) & Corporate Counsel will provide a broad range of legal services to Clients, typically at the Executive Director level and below. Responsible for partnering with legal, compliance, and business teams across the entire US business to guide commercial transactions from the strategic planning phase to drafting, negotiation, implementation, and enforcement of contracts. Provides support for contract operations for all Boehringer Ingelheim entities in the US, including working with external legal support to ensure an efficient and risk-based approach to US contracting and push continuous improvement processes. Level of counseling requires a broad base of legal knowledge as well as recognized expertise in one area of specialty (e.g., M&A, real estate, privacy, etc.). This role can be based out of our Ridgefield, CT or Duluth, GA locations and has a flexible hybrid with onsite work schedule flexibility of 2-3 days per week dependent upon business needs. **Compensation Data** This position offers a base salary typically between $183,000 and $280,000. (https://www.boehringer-ingelheim.com/us/careers/benefits-rewards) **Duties & Responsibilities** + Prepares, usually independently, legal documents and contracts for a broad array of commercial transactions, letters, notices, corporate documents, etc. + Supports US contracting operations to continuously improve the level of support for the business by acting as the primary point of escalation for external legal support team and managing and developing contract templates and contract lifecycle management platform. + Expert understanding of state and federal laws, regulations and policies in at least one specialized legal area; strong working knowledge of laws, regulations and policies in a second specialized legal area; ability to interpret and apply such laws, regulations and policies to inform business activities. Has ability to apply a wide variety of legal concepts and disciplines to complex business situations. + Influences clients by identifying and communicating to clients risks associated with complex business activities within lawyer’s specialized legal area; helps identify risks in outside lawyer´s specialized legal area; provides training and business advice to clients on applicable legal issues within lawyer’s expertise. + Partners with clients by looking beyond immediate business issues and identifying broader business purposes; proactively applies legal framework to both the specific business activity and the broader business purposes; developing alternative legal solutions to enable the achievement of successful outcomes. + Usually takes the lead in negotiating on behalf of client to achieve solutions consistent with business objectives. + Confers with other in-house and outside counsel where appropriate. + Manages (either directly or indirectly) administrative assistants and other personnel within department. Mentors and/or trains more junior attorneys, paralegals, administrative assistants and/or other personnel within department. Is a member of multi-functional teams. + Keeps current with evolving legal and business issues within lawyer’s expertise and clients’ business environment. **Requirements** + Juris Doctorate degree from an accredited law school. + Minimum of 2 years legal experience required, 4-6 years of relevant legal experience within a law firm or in-house legal department strongly preferred. + Admission to at least one State bar. + Excellent contract negotiation and drafting skills. + Excellent oral and written communication skills. + Excellent organizational skills; demonstrates discretion and ability to maintain confidentiality of information. **Eligibility Requirements** : + Must be legally authorized to work in the United States without restriction. + Must be willing to take a drug test and post-offer physical (if required). + Must be 18 years of age or older. **Desired Skills, Experience and Abilities** Experience in the pharmaceutical/life sciences sector a plus.
