**Summary:**
Meta is seeking an experienced Associate General Counsel to join the Legal department’s corporate team. This role requires operating independently in a fast-paced environment and working proactively with various teams across the organization, including executive operations, human resources, finance, investor relations, and corporate communications.
**Required Skills:**
Associate General Counsel, Corporate Responsibilities:
1. Advise on complex securities law compliance and disclosure matters, with emphasis on disclosure controls and procedures, metrics reporting, executive compensation and perquisites, and capital markets.
2. Work with cross-functional teams to build and enhance internal processes.
3. Assist with preparation of SEC and other corporate regulatory filings, including proxy statements and reports on Forms 10-K/Q.
4. Assist in corporate governance matters, including oversight of corporate policies and preparation of board and committee materials, with emphasis on compensation-related matters.
5. Coordinate with and manage outside corporate counsel.
6. Distill complex legal matters into actionable advice.
**Minimum Qualifications:**

7. J.D. degree (or foreign equivalent)
8. Active membership in at least one US state bar and eligibility to obtain registered in-house counsel status (if required by the State Bar in the assigned work location)
9. 8+ years of legal experience as a practicing attorney, including at a law firm and/or in-house or government experience
10. Demonstrate business judgment and client counseling skills
11. Effective communication skills
12. Corporate and transactional experience with public companies. Emphasis on SEC and regulatory compliance, executive compensation, and corporate governance.
13. Experience leveraging organizational skills and strategic thinking, and experience working autonomously and with cross-functional teams.
14. Demonstrated pattern of roles with increasing responsibility.

**Public Compensation:**
$198,000/year to $266,000/year + bonus + equity + benefits
