Associate General Counsel – Securities and Corporate Finance
About the Role: Grade Level (for internal use): 15 About the Role: The Team: This position reports directly to the Deputy General Counsel and Corporate Secretary, and will lead a team of three attorneys, including securities, executive compensation, and benefits counsels. Responsibilities and Impact: The Associate General Counsel - Securities and Corporate Finance is responsible for supporting a business of approximate $12 billion in revenue and over 35,000 employees world-wide, taking significant responsibility for 1934 Act disclosure and compliance, NYSE/SEC compliance, and corporate finance transactions, including capital markets transactions, credit facilities and corporate banking matters. The role will play a key role in the Company’s governance and disclosure process. The Associate General Counsel - Securities and Corporate Finance will work in a dynamic, fast-paced, client-facing environment and will have the opportunity to partner closely with colleagues in finance, investor relations, and communications while forming part of a collaborative legal department that is valued for its clear and concise advice. As a key legal advisor to the CFO, Controller, Head of Investor Relations, Treasurer, and finance team broadly, the Associate General Counsel – Securities and Corporate Finance will serve as a key leader in the Corporate Legal Group. This role will provide support to the Audit Committee of the Board in connection with the Committee’s financial reporting and oversight responsibilities. This role will also supervise a team of attorneys who advise the Chief People Officer, Head of Total Rewards, and people team broadly on matters related to executive compensation, compensation, health, benefits, and pensions. Responsibilities: Ensure compliance with public company and securities law matters. Provide legal and strategic counsel on a wide range of corporate transactions and disclosure issues as a key legal advisor to the company’s CFO, Controller, Head of Investor Relations, Treasurer, and finance team broadly. Draft, review and advise on the company’s SEC and NYSE periodic and other filings (10‐K, Proxy Statement, 10‐Q, and 8‐Ks); advise and collaborate with investor relations, finance and communications teams in the preparation of earnings releases and other announcements. Review and advise on the Company’s statutory and voluntary disclosures and reporting, including reporting on Environmental, Social and Governance (“ESG”) matters, in close collaboration with the Corporate Responsibility and Controllership teams. Oversee and advise on insider trading and Section 16 filing processes. Play a key role in managing the Company’s public company corporate governance, including preparing materials for board of directors and audit committee meetings and the annual meeting. Work closely with the Chief Accounting Officer and Treasurer on transactional and financing activities, including oversight of outside counsel to ensure quality work product. Take ownership of various disclosure procedures and internal controls, regularly evaluating and refining processes to enhance diligence and disclosure. Develop strong relationships with internal constituents including the CFO and divisional CFOs, Controllership, Treasury, FP&A, Tax, Internal Audit, Investor Relations, and Communications and external constituents such as the Company’s independent auditors and key finance advisors. Monitoring and assessing the impact of legal and regulatory developments and enforcement trends at a state and federal level. Managing a team of two to three attorneys, including junior securities, executive compensation, and benefits counsels. Providing substantive support for the Deputy General Counsel and for the rest of the Legal team, as needed. Compensation/Benefits Information: (This section is only applicable to US candidates) S&P Global states that the anticipated base salary range for this position is $204,000 to $368,700. Final base salary for this role will be based on the individual’s geographic location, as well as experience level, skill set, training, licenses and certifications. JD or LLM from an accredited law school and maintains active bar membership in at least one US state. The candidate will foster inclusivity and manage emotions to achieve optimal business outcomes. They will effectively pivot direction and delegate responsibilities, utilizing team strengths to meet strategic initiatives. Additionally, they will define strategies for sustainable solutions that reflect business needs and influence stakeholder buy-in at all levels. They should be adept at articulating business needs, challenging existing systems and processes, and defining actionable strategies. The candidate will actively seek input from diverse sources to ensure engagement and sustainability in their initiatives. Candidate must be able to effectively counsel internal clients by providing them with clear, concise, and commercial advice, and creative solutions where necessary, on established timelines to meet their business needs. The candidate must be able to operate autonomously while also being a collaborative team player who brings a positive, “can do” attitude to the workplace. They will work effectively with other members of the Legal team, internal clients, and cross-functional organizations to influence and develop strategic initiatives. The successful candidate will have excellent communication and interpersonal skills, strong judgment, and a broad range of corporate experience. They will demonstrate a passion for the financial and commodities markets and the data that drives them. The candidate must also effectively articulate complex ideas across functions and cultures while negotiating and reaching consensus on solutions. The candidate must be highly analytical, possessing exceptional business and legal issue identification and problem-solving skills. They should effectively manage risks and make decisions that minimize threats while maximizing opportunities.
