Associate General Counsel

We believe in fostering a dynamic and supportive workplace where talented professionals can thrive. Position Summary We are seeking an Associate General Counsel to join our in-house legal team. This role will report to the General Counsel and work closely with Company leadership to provide legal guidance on a variety of business matters. The ideal candidate is a practical problem solver who can navigate complex legal matters, creatively problem solve, mitigate risk, and support strategic business objectives. This role offers hands-on legal experience in contract negotiation, regulatory compliance, employment law, and a variety of transactional matters, making it an excellent opportunity for an attorney looking to develop within a dynamic, fast growing, family-owned business. Key Responsibilities • Contract Negotiation & Drafting – Prepare, review, and negotiate a variety of agreements, including: real estate leases, licenses, and purchase and sale contracts; purchase orders; vendor agreements; nondisclosure agreements; SaaS contracts; and material storage, handling, and transportation contracts. • Regulatory Compliance & Legal Research – Stay up to date on federal, state, and local regulations impacting the Company and provide guidance to ensure compliance. Research, analyze, and advise on all legal matters impacting the Company and its operations. • Employment & Labor Law Advisory – Research and advise on matters such as union labor issues, discrimination claims, ADA/FMLA/Workers’ Compensation situations, and employee benefits. • Real Estate Matters – Assist in all legal aspects of real estate transactions, land use matters, and related transactions, including due diligence, contract negotiation, document preparation, and closing activities. • Mergers & Acquisitions (M&A) – Assist in all legal aspects of mergers, acquisitions, joint ventures, asset acquisitions, and other strategic transactions, including due diligence, contract negotiation, regulatory compliance, and risk assessment. • Financial & Banking Transactions – Assist with the legal aspects of banking relationships, financing arrangements, credit facilities, and other financial transactions to ensure compliance with regulatory and contractual obligations. • Legal Document Preparation – Prepare legal memoranda, letters, summaries, policies, and reports for Company personnel. • Litigation Support & Risk Management – Work with outside counsel on litigation, dispute resolution, and corporate legal matters. Qualifications & Experience • Juris Doctor (J.D.) from an accredited law school. • Licensed attorney in at least one state where Ozinga operates. • Minimum 3+ years of relevant legal experience, preferably in a corporate legal department or employer-focused law firm. • Strong knowledge of corporate, contract, real estate, and labor & employment law preferred. • Comfortable working in a fast-paced, business-oriented environment. Skills & Competencies • Excellent contract drafting, negotiation, and legal analysis skills. • Strong problem-solving ability and business acumen—able to provide practical, risk-conscious legal advice. • Exceptional communication skills (written and verbal), capable of breaking down complex legal issues into easily understandable terms. • Highly organized and detail-oriented, able to manage multiple priorities and deadlines effectively. • Advanced proficiency in Microsoft Office Suite (Word, PowerPoint, Teams, Outlook). • Experience with utilizing AI tools is a plus.
