Associate Vice President/General Counsel Position Summary 

Reporting to the President and Chief Executive Officer, the Associate Vice President/General Counsel advises TidalHealth and its subsidiaries on legal matters affecting the Systems’ hospitals, joint ventures, ambulatory campuses and programs, residency programs, physician practices, and other clinical and non-clinical operations. Specifically, the AVP/GC provides guidance, direction, and assistance in connection with a myriad of agreements and a broad range of health care, employment, fraud and abuse, regulatory, M&A, property, and litigation matters. 

 

Associate Vice President/General Counsel Position Requirements  

 Experience: 

The successful candidate will have at least ten (10) years of broad-based experience in healthcare law gained at a major law firm and/or in an in-house counsel role at a hospital, health system, or healthcare organization. This individual will bring strong transactional experience including mergers, acquisitions, health care fraud and abuse, nonprofit, and physician contracting.  

Responsibilities: 
 

Provide legal support in mergers and acquisitions, partnership development, market and financial analysis, and strategic investments. Advise and provide legal support on strategic transactions, including negotiating and drafting non-disclosure agreements, drafting letters of intent, preparing contracts and agreements with advisors and financial consultants, and drafting various transaction documents and definitive agreements involving asset purchases, member substitutions, joint ventures, and operating agreements.   Collaborate with TidalHealth teammates, outside counsel, and other experts in the review and evaluation of significant matters involving transactions, including regulatory and compliance issues; employment and employee benefits matters; intellectual property; IT security and privacy issue; and other matters.  Develop, write, and present presentations, reports, memos, and other content that describes strategic transactions and related legal, regulatory, and diligence issues in clear terms; explains the rationale for particular transactions and deals; and provides actionable advice and recommendations for decision-makers.  Works collaboratively with the Corporate Compliance officer and serves as a member of the Compliance and Internal Audit Steering Committee and Board Compliance Committee to support the system compliance program.  Ensures physician and advanced practice professional contracts are legally sound, regulatory compliant, fair and equitable. Supports situations involving disputes, contract amendments, agreement terminations, credentialing and licensure, immigration and other employment-related, anti-discrimination regulations.  Monitors the passing of new legislation impacting TidalHealth facilities, clinics, providers and employees and updates all appropriate departments/personnel regarding new laws and changes to existing laws to ensure compliance.  Advise on risk management, healthcare and billing compliance, corporate compliance and governance, general contractual matters, telemedicine matters, faculty/physician compensation, and research matters.  Engage and supervise outside counsel in accordance with TidalHealth policies and practices.  Build strong and respectful relationships with stakeholders and department colleagues to promote collaboration across TidalHealth and with consultants and advisors to achieve goals and outcomes established by TidalHealth. 

Education Requirements: 

Bachelor’s and Juris Doctor degree required. 

Licensure/Certification Requirements: 

Must be licensed to practice law in Maryland and Delaware at the time of employment, or be able to become licensed no later than one (1) year after becoming employed by TidalHealth.
