Essential Job Functions:

Contracts Administration

Review, analyze, draft responses, and negotiate requests for revisions to various agreements (including but not limited to NDAs, MSAs, SOWs, inbound/outbound license agreements, technology agreements, and vendor agreements) and identify exceptions for review by attorneys in line with applicable guidelines. Provide recommendations relating to any exceptions or escalations.Maintain and revise contract templates for review by in-house attorneys, as necessary.Communicate and collaborate with Compliance, InfoSec, Sales, Finance, and other supporting cross-functional teams to answer questions and resolve issues related to commercial contracts.Provide guidance on contract terms to internal stakeholders and answer questions about contracts and the approval process, as needed.Draft form contracts and correspondence using proper template and within established service levels.Assist in maintaining contract and document management systems.

Special Projects/Ad Hoc Support

Support Senior Legal Department attorneys on various research projects, including research, organization and forming policies and procedures.Support enforcement of compliance tracking and obligations for Registered Investment Advisor entities.Lead and/or participate in projects related to legal department initiatives.Assist in mergers, acquisitions, and other strategic transactions, including due diligence, transaction management and integration planning in coordination with corporate development professionals and outside advisors, as needed.Support other Legal professionals as needed, including but not limited to preparing PowerPoint presentations, spreadsheets and other materials and communications, policy and process communications, litigation hold notices, and other matters.Have strong knowledge and understanding of department policies and procedures as they relate to job functionConsistently ensure that business is always conducted with integrity.Such other activities as may be assigned by your manager.

Qualifications/ Requirements:

Associate degree or paralegal certificate strongly preferred, and/or bachelor’s degree and/or relevant legal experience in finance or technology sectors strongly preferred or an equivalent combination of education and experience.Minimum of 6+ years of industry and/or relevant experience, typically with 1+ years in a Senior Associate level role or external equivalent.A minimum of 5 years contracts-related legal experience in a corporate or law firm setting (in-house legal department or procurement role strongly preferred)Demonstrate high academic achievement, as well as strong written and verbal communication skillsSkill in the creation, integration, revision and management of contracts and legal documentsExcellent teaming, project leadership, and communication skillsSuperior attention to detail, as well as organizational and multi-tasking skillsStrong work ethic and the ability to thrive in a fast-paced environment with a high level of professionalism, discretion, and business judgment.Research and analytical skills.Strong client service orientationKnowledge of and proficiency with Microsoft Office applications and other internet resources

Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location and alignment with market data. Additionally, certain positions may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility and SitusAMC Senior Management approval.
