We are looking for a highly detail-oriented and organized professional to join the Rabobank North America Legal Department Board Governance team. As a Corporate Paralegal, you will be working in a fast-paced environment to support the Board Secretary in fulfilling governance responsibilities for top-level board members and senior executives. You and Your Job:

As a Corporate Paralegal, you will be a member of the Legal Department responsible for maintaining the North America region's corporate books and records, preparing agendas and minutes pre and post-attendance at certain meetings, assisting with regulatory reporting, working closely with board members and executive management under guidance of the Regional General Counsel and Board Secretary and the Senior Counsel and Assistant Board Secretary, assisting in researching board best practices, and tailoring the board’s governance framework as needed. The Corporate Paralegal will assist the Assistant Secretary and RGC in ensuring that the NA region's boards and North America Executive Team conduct business effectively and efficiently.

The Corporate Paralegal shall assist the Assistant Secretary and RGC in ensuring that accurate and sufficient documentation exists to meet legal requirements, and to enable authorized persons to determine when, how and by whom the Board’s business was conducted. - The Corporate Paralegal shall assist with the recording of minutes of meetings, and assists in ensuring their accuracy, and availability, and submits various information to the Board and performs other duties in a manner consistent with the expectations of the Board and financial regulators.
 

Job Responsibilities:

The Corporate Paralegal shall:

Work with the North America Executive Team, other executive leadership within Rabobank, and members of the NA region’s boards on matters pertaining to the planning and execution of respective Executive Team and Board meetings, at the request of the Assistant Secretary and/or RGC;Assist in the coordination of the preparation of Board and Committee agendas and Action Item

lists;

Assist the Assistant Secretary and RGC in organizing and servicing the Board, and Committee meetings in accordance with any procedures agreed upon by the Board from time to time, and coordinating the preparation and distribution of appropriate notices, agendas, and supporting documents;As directed by the RGC and/or the Assistant Secretary attend certain Executive Team and/or Board meetings and act as Corporate Paralegal at each such meeting;Assist in the preparation and circulation of minutes of meetings and assist in ensuring that the details of the resolutions and decisions are in order so that proper account of them is taken by the Board;Effectively communicate with stakeholders to ensure corporate governance at the UAH North America Board and Committees and NAET levels are adhered to; andPerform such other functions as the Assistant Secretary, RGC, and Chairs may reasonably specify from time to time.

The Corporate Paralegal shall also:

Assist with administering the quarterly and/or annual Legal document reviews, quarterly Legal library reviews internally by Counsel.As directed by the RGC and/or the Assistant Secretary, potentially support the Board of Directors of Rabo Securities USA, Inc. (“RSI”) by organizing and servicing the RSI Board meetings in accordance with any procedures agreed upon by the RSI Board, and coordinating the preparation and distribution of appropriate notices, agendas, and supporting documents;Assist with managing the Legal Department’s policies and procedures portfolio, including annual re‐view and monitoring;Complete corporate governance related tasks, such as managing director and officer appointments, maintaining organization charts and submitting entity filings as required by banking regulations;Manage the list and related microsite for Rabobank’s Committees and Working Groups;Manage the list and related microsite as well as liaise with HR for Officer appointments;Liaise with various board members and members of assigned committees to obtain signatures and approvals when necessary;Maintain good order of the legal files and corporate minute books and overseeing document imaging and fi ling;Liaise with in-house counsel, outside counsel, and all internal personnel;Assist with special projects as applicable.

BA degree with a minimum of 4 years of corporate/transactional experience.Paralegal certification idealIndependent thinker; act with confidence with limited oversight.  Detail oriented. Reliably organize work; work effectively and efficiently, prioritize work and anticipate business need. Manage multiple projects simultaneously with good results.Computer proficiency with MS Word, Outlook and Excel required. Must possess good human relation and communication skills. Needs to be able to multi-task and work well under time constraints.Experience drafting detailed meeting minutes and agendas.Experience scheduling and managing regularly recurring meetings.Familiarity with corporate governance practices and principles.Process information logically and ability to use the result in appropriate applications to meet the requirements of the job. Handle normal and extraordinary situations well.

Salary Expectations:

Target Hiring Range: $80,000 - $110,000

This position is subject to the terms of [RAF/Rabobank/RDS]’s compensation plans and policies. It is anticipated that the position will pay within the target hiring range. The range is reflective of the desired primary physical work location and may be adjusted outside of the projected range based on geographical differentiation if the actual work location of the hired candidate differs from the desired primary location, or for other lawful reasons. Further, all full-time regular position includes all other benefits provided to [RAF/Rabobank/RDS] employees, including healthcare benefits, 401k matching, vacation, sick leave, parental leave, possible discretionary bonuses and all other benefits that are all governed by and subject to ERISA plan documents and eligibility.
