Your opportunity
The primary focus of the role is to assist Janus Henderson with the implementation of the contractual requirements of the EU’s Digital Operation Resilience Act (DORA). You will receive training on DORA from members of the legal team.
Under DORA, Janus Henderson is required to put in place processes and policies, as well as mandatory contract provisions in contracts for information and communication technology services.
Draft and negotiate a DORA amendment for each ICT vendor contract that is in scope for DORA, using Janus Henderson’s standard DORA template amendment. Where necessary, review and negotiate vendors’ form DORA contractual templates, using Janus Henderson’s DORA playbook to ensure compliance with the DORA requirements. Assist with updating and maintaining contractual records in Janus Henderson’s contract management system.
In addition to DORA related work, you may (if required):
Review and negotiate buy-side agreements across all business areas, including software licensing, cloud agreements and professional services. Review and negotiate data processing addendums to ensure compliance with data protection and privacy regulations, including GDPR. Draft legal and commercial contractual terms as necessary to align with Janus Henderson’s contracting framework and standard methodologies. Collaborate and communicate regularly with relevant stakeholders to achieve comprehensive contract review and risk assessment, including Procurement, Information Security, Data Privacy, Records Management and Compliance. Apply knowledge and corporate policies to mitigate contractual risk. Provide legal support and guidance to business partners to ensure contract terms meet business needs within acceptable risk tolerance thresholds. Provide creative and strategic business-oriented solutions to aid in the contract negotiation process. Identify legal and commercial contractual risks and effectively convey concerns and provide advice to internal business partners to assist in decision-making processes. Perform research and analysis that helps to ensure Janus Henderson operates in accordance with applicable legal parameters. Ensure the accuracy of agreements, addendums and amendments. Advise all areas of the business on a variety of topics, including contracts, Intellectual Property, Information Security and Data Privacy matters. Assist in updating and maintaining contract templates. Maintain well developed professional relationships. Assist in recommending process improvements and efficiencies as needed. Provide legal support to lawyers and assist with special projects as needed. Carry out additional duties as assigned.

Must have skills
Bachelor’s degree or equivalent Two years of experience in contract review and negotiation Demonstrated familiarity with legal concepts such as intellectual property rights, limitation of liability, indemnification, warranties and confidentiality. Ability to review existing contracts in a timely manner A solid understanding of legal concepts Strong interpersonal skills Excellent attention to detail and accuracy Great problem-solving skills Excellent verbal and written communication skills Ability to follow complex instructions and processes Strong organization skills with the ability to prioritize and balance multiple tasks simultaneously A great teammate but able to work with little supervision Ability to maintain confidentiality Intermediate to advanced computer skills, including Microsoft Office Word and Excel and Adobe Acrobat
Nice to have skills
Paralegal or other relevant legal experience preferred Experience with issues related to data protection and privacy regulations (including GDPR) Experience in the mutual fund/financial services or information technology industries
