About the team

Working within the Legal, Compliance, Risk and Audit group in London as part of an international team supporting Worldpay.  The position reports to the VP, Associate General Counsel for Worldpay, Corporate located in London (the “AGC”), working closely with others in the London Corporate Governance team, ultimately reporting into the Worldpay Group Chief Legal Officer and Corporate Secretary in the US.  In addition to the AGC and the Corporate Governance team, the role-holder will work closely with with colleagues and corporate administration partners in multiple jurisdictions.

The role involves assisting the AGC and the Corporate Governance team in the provision of an end-to-end governance service and company secretarial function focused on the Worldpay entities’ Boards and Committees in the UK and globally, across EMEA, APAC and Latam.  The role will also support ongoing key strategic projects, in particular further Worldpay global expansion, group structure simplification, plus potential M&A.

What you’ll own

Acting as Company Secretary for Worldpay's primary operating company boards in the UK, regulated by the Financial Conduct Authority (FCA);

Collaborating with Worldpay corporate, central functions and business teams in providing a full range of corporate secretarial services to Worldpay entities across EMEA, APAC and Latam;

Liaising closely with Directors and key stakeholders, including Independent Non-Executive Directors;

Managing professional relationships in multiple jurisdictions with well-developed cultural sensitivity to enable engagement with people at all levels and with diverse backgrounds;

Embedding new Worldpay Corporate Governance guidelines, processes and procedures across the global group;

Providing advice on best practice corporate governance, ensuring alignment with relevant codes;

Preparing for Worldpay’s global regulated subsidiary board and committee meetings, including maintenance of board planners, board packs, liaising with presenters from across the business and central functions and timely distribution of papers;

Attending Board and committee meetings, ensuring:

meetings are correctly convened,

detailed minutes are prepared, as expected in a regulated environment,

action points are accurately logged and followed up

Drafting company written resolutions and other corporate secretarial documents as required;

Management of statutory filings, including director resignations and appointments, event-driven changes, and maintaining accurate entity database records (Diligent Entities);

Overseeing new entity incorporations and working with local external advisors;

Providing board support to entity directors, advising on directors’ duties, liaising with senior management;

Assisting in the management of timely statutory filings, liaising with group accounting and tax teams on regular reporting to regulated boards;

Interfacing and collaborating with the broader Worldpay in-house legal, compliance, risk and audit team plus business and central functions including Treasury, Tax, Finance and Corporate Affairs;

Providing corporate secretarial support on corporate reorganisations, rationalisations, M&A, and other major projects, as required.

You’ll own it in our thriving London hub, working on a hybrid basis, normally expected at the office in person a minimum of 2-3 days per week. What you bring

Associate or Fellow of the UK Chartered Governance Institute (‘ACG/ACIS’ or ‘FCG/FCIS’);

Minimum of 8 years’ post qualified corporate secretarial experience;

Confidence and gravitas to engage with senior stakeholders effectively;

Knowledge of relevant company legislation of England & Wales;

Familiarity with the UK Wates Corporate Governance Principles for Large Private Companies;

Experience with the drafting of corporate documents;

Experience of reviewing statutory accounts (including drafting narrative disclosures) and familiarity with the UK financial distribution regime;

Experience working with outside resources;

Strong communication skills with the ability to multi-task and prioritise work in a fast-paced, deadline-focused environment;

Ability to work independently, self-motivated but also a team player;

Strong IT skills; familiarity with Diligent Entities, and proficiency in Windows-based applications, Microsoft Outlook, Word, Excel and PowerPoint.

Desirable additional experience:

Experience in financial services regulated environments;

Experience of company secretarial activity in international jurisdictions;

Experience of working in an international business with either a US parent company, or significant US presence
