The ro le you’ll contribute:
The Contract Specialist provides the professional support necessary for AdventHealth West Florida Division attorneys to meet the day-to-day functions of the department. The Contract Specialist is responsible for the development of various types of physician employment agreements and other agreements in a wide variety of specialties under the supervision of an attorney. This function will be carried out using templates and a contract life cycle workflow system. The Contract Specialist will collaborate with other team members including operational leaders and department colleagues. Outstanding communication and stress management skills are extremely important. Experience in handling highly confidential information is a vital part of the daily responsibilities.
The val ue you’ll bring to the team:
· Drafts, edits, and maintains employment agreements, amendments, letters of intent, professional services agreements, medical director agreements, call agreements, administrative services agreements, and other documents for hospital, physician, and post-acute transactions from templates.
· Drafts acquisition documents for transactions from templates, including gathering, coordinating, reviewing, and tracking of certain documents.
· Drafts organizational and governance documents, including, but not limited to, articles of incorporation, bylaws, and resolutions.
· Communicates with hospital executives, physicians, and other stakeholders regarding the status of legal negotiations and/or documents.
· Redlines and tracks changes to documents, creates comparison documents, and prepares execution- ready documents. Mails out execution documents with cover letters.
· Research regulations, laws, and legal articles to assist with the preparation of legal memoranda and legal advice.
· Serves as first point of contact for process servers, department inquiries, or issues concerning class actions, garnishments, subpoenas, and litigation.
· Checks and edits legal documents for accuracy.
· Prepares and files financial statements, UCC agreements, and documentary stamp taxes.
· Prepares documents relating to and maintains records of files regarding class actions, garnishments, subpoenas and wrongful collection litigation.
Qualifications
T he expertise and experiences you’ll need to succeed:
· 4-year bachelor’s degree or associate degree in a legal field and 3- years’ experience in a professional role as a contract specialist AND At least 1-year of contract drafting
OR
· 5-years’ experience as a contract specialist or related work experience.
