Description
A prominent Silicon Valley-based company is seeking a contracts manager to join their team. In this role, you will be handling intricate contracts while liaising between legal counsels, management, business teams, vendors, and customers. You will also be tasked with the management of our company's contracts management system, ensuring efficient operation and administration.
Responsibilities:
• Identify and summarize key points of both simple and complex agreements for legal counsel
• Collaborate with in-house counsel in reviewing and red-lining a diverse range of agreements, including but not limited to Master Service Agreements (MSAs), Statements of Work (SOWs), Non-Disclosure Agreements (NDAs), supplier and vendor agreements.
• Conduct regular reviews of standard terms and conditions on a global basis, updating them as necessary for consistency with current business practices and processes
• Draft and send correspondence, letters, and other communications as required
• Handle all aspects of contract administration, including intake of contract requests, obtaining approvals, tracking progress, obtaining signatures, preparing and sending hard copies via courier, and providing status updates to stakeholders
• Ensure contracts are submitted through the correct workflow and provide training when appropriate
• Secure all necessary approvals and ensure adherence to standard company policies and procedures
• Track contract expiration dates and collaborate with business stakeholders to ensure contracts are renewed or terminated timely
• Manage contracts within the contracts management system, including uploading backlogged contracts to the database, filing and organizing historical documents, and managing database upgrades
• Design, implement, and maintain processes that enhance contracts management
Requirements
• Must have a proven track record in Contract Management.
• Proficiency in Contract Administration is required.
• Experience with Nondisclosure Agreements is essential.
• Familiarity with Content Management Systems (CMS) is required.
• Excellent communication and negotiation skills are essential.
• Ability to work collaboratively with various departments within the organization.
• Strong organizational skills and attention to detail.
• Ability to handle multiple tasks simultaneously and meet deadlines.
• Sound knowledge of legal requirements involved with contracts.
• Proficiency in Microsoft Office Suite, particularly Microsoft Excel.
