Brief Description: United BioSource LLC (“UBC” or “Company”) is seeking a highly motivated, talented, and client-focused commercial attorney prepared to support the company’s global legal, compliance, and contracting requirements with a primary emphasis on supporting colleagues with respect to (a) clinical trial/site agreement counseling, drafting, review and mark-up and negotiation, (b) negotiation, review, mark-up and completion of confidentiality/nondisclosure/non-use agreements as the primary point of management, and (c) supporting Chief Legal Officer in connection with the Company’s ESG initiatives and assessment/audit responses, and (d)  review and drafting other commercial contracting (client and vendor). The position will report to UBC’s Chief Legal Officer and work closely with other legal, contracting, compliance, privacy and security team members, including U.S. and EU site contracting teams. 

Specific job duties: 

Serve as a primary point of contact and internal client counselling to UBC global clinical site contracting teams in connection with clinical trial/site/principal investigator agreementsIndependently manage and serve as Law Department lead in managing high volume of CDA requests, including leading prompt review, response and resolution to signature of confidentiality/non-use agreements on third-party paper and UBC paper Provide primary legal support with structuring, drafting, and negotiating a wide variety of other client and vendor commercial contracts licenses, consulting agreements, real estate leases, and confidentiality agreements. Provide primary support in Company’s ESG initiatives, including internal and vendor ESG programs and activities directed to GHG reduction and KPI success, as well as supporting response to client and third-party questionnaires relating to ESG metrics.

Desired Skills and Qualifications:

J.D. degree and membership in at least one state bar1 to 3 years of legal experience at a law firm and/or in-house corporate legal department (pharma or CRO experience required); 1 to 2 years of global (U.S., EU and UK) clinical trial/site contracting experience (Phase II to IV) required, with a firm understanding of applicable regulatory and privacy/security requirements and industry standardsNon-Attorney Contracts managers with 5-7 years experience on CRO side in review, mark-up, drafting of clinical trial/site contracts will also be considered. Experience in the pharmaceutical industry is required, whether on the manufacturer side or pharma services sideExcellent judgment, attention to detail, and ability to manage sensitive and confidential informationPossess (and deliver to the client) a natural can-do, practical problem-solving orientationOpenness to learning and developing subject matter knowledge in areas essential to specific job duty success. Experience negotiating successfully with biopharmaceutical companies is preferred but not requiredExcellent verbal and written communication skillsDemonstrated ability to multi-task in a fast-paced entrepreneurial environmentAbility to develop a deep understanding of internal and external clients and vendor businesses to identify creative, practical solutions that address client needs while minimizing risk
