Contracts Specialist

Cleaver Brooks Sales and Service is looking for a Contracts Specialist to join our team in Dallas, TX. The Contracts Specialist main focus is to review and analyze various contracts/purchase orders to discover potential risks for the Company, and ensure that terms and conditions are in compliance with Company policy and protect or enhance the interests of the Company. The successful candidate must have the ability to critically analyze and understand a multitude of contract terms and conditions, including warranty, indemnity, limitation of liability, insurance, and confidentiality. Other responsibilities include managing contract files, drafting and administering contract amendments, tracking renewals and extensions, and preparing contracts and related files in accordance with all internal policies and procedures. The Contract Specialist is responsible for protecting the contractual and commercial interest of the company.

Job Location: Dallas, TX

Essential functions:

Display tactful, mature, and professional demeanor with well-developed interpersonal skills including the ability to work with diverse personnel Display superior written and oral communication skills and employ effective listening skills Independently review and interpret contractual provisions of various types of Agreements, including but not limited to Master Agreements, Purchase Orders, Non-Disclosure/Confidentiality Agreements, Vendor Agreements, Subcontractor Agreements, and Leases Identify contractual terms of concern during the negotiation process with a focus on maximizing financial and operational performance, reducing company liability, and minimizing risk Redline, comment, and provide input for proposed changes to various types of contractual provisions of agreements to meet the Company’s risk profile, policies, and procedures Apply intellect, creativity, adaptability, and judgment to achieve desired results. Display proven time management and follow-through skills with the ability to work on multiple tasks with tight deadlines Maintain clear lines of communication with other CBSS departments, providing transparency of priorities and clear target dates for deliverables. Assist with Sales Team and Client requests for company information to complete prequalification forms (W-9 forms, Certificate of Insurance, New Vendor Questionnaires) Assist Contract Manager and Sales Team in managing contract disputes with clients and vendors with the objective of achieving a mutually acceptable resolution Organize and maintain contract files, including all amendments, correspondence and any other relevant documents affecting the life cycle of the contract Create and maintain relationships with suppliers and serve as a primary point of contact for matters concerning contracts Evaluate current process and capabilities and recommend new processes Display a strong commitment to safety and quality All other duties as assigned

Basic Requirements:

Education: Bachelor’s degree or equivalent experience preferred

Experience:  3-6 years of experience in contract management and/or administration

Travel Requirements: Minimal travel (<10%) anticipated for this role

Other Required Skills:

A demonstrated ability for interpreting and negotiating contractual provisions Keen attention to detail and the ability to spot errors and inconsistencies Excellent reading and language comprehension Strong negotiation skills and experience Strong analytical and organizational skills Proficient with Microsoft Office products, including Outlook, Word, Teams, Excel, and Power Point. Experience with Industrial and Services Contracts a plus Experience in law, engineering, planning, or cost controls advantageous
