Corporate and Technology Attorney
Summary:Legal services described herein will be provided for Mizuho Americas and its subsidiaries (including MHBK (USA) and its subsidiaries), the U.S. branches of MHBK, and other Mizuho U.S. entities, as necessary. They include, among other things: + Legal advice and representation supporting (i) software licensing, outsourcing and other third party vendor agreements, and (ii) sourcing, vendor management and technology-related matters + Legal support services regarding general technology-related matters, such as those relating to policies & procedures, third party risk management, internal training/seminars and internal working groups + Legal advice and representation supporting privacy, data security and related matters Principal Duties and Responsibilities: + Draft, review and negotiate technology outsourcing, software, platform, subscription, hosted service, cloud-based service, electronic trading, data, service level, professional service and license agreements and other third party vendor agreements + Advise internal stakeholders on legal issues and standards for contracting with third party vendors, including responding to stakeholder questions regarding contract terms and related policies and procedures + Coordinate as necessary with subject matter experts for advice and support related to intellectual property, data privacy, cybersecurity, regulatory compliance, dispute resolution and other matters that intersect with third party vendor contract matters + Support third party risk management program and sourcing team as a legal subject matter expert + Contribute to preparation of and updates to document templates and know-how relating to sourcing and technology matters + Keep up-to-date on legal and regulatory developments regarding technology-related matters, including third party risk management, cybersecurity and data privacy/security + Such other matters as requested by the manager of the Corporate and Technology Legal team and/or the General Counsel of the Legal Department--Banking or the CLO MINIMUM JOB REQUIREMENTS OR EXPERIENCE: + JD with bar admission in New York + Strong communication, negotiation and organizational skills + At least three years of law firm or relevant in-house experience OTHER/MISC: Must have the following abilities/qualities: (a) able to work independently and unassisted; (b) possess excellent verbal and written communication skills; (c) able to communicate effectively with front and back office as well as senior management to explain legal/regulatory risks in detail; and (d) possess excellent organizational skills and accommodate expedited deadlines. This role is hybrid, two days in our New York City office. The expected base salary ranges from $175,000.00 - $210,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered.
