Corporate Associate – Emerging Companies and Venture Capital (ECVC) Practic
Position Overview

The firm is seeking a skilled Corporate Associate with 4+ years of experience to join its Emerging Companies and Venture Capital (ECVC) practice. This role offers the opportunity to work on cutting-edge transactions and support innovative clients at all stages of growth, from emerging startups to well-established venture-backed enterprises. The position is available in the firm’s New York and Boston offices.

Key Responsibilities Drafting and Negotiation: Prepare and negotiate venture capital investment agreements, including NVCA model forms. Leadership in Transactions: Lead negotiations of key terms in venture capital investment agreements, ensuring the client’s goals are effectively met. Mentorship and Training: Supervise, train, and mentor junior associates in all aspects of venture capital financing, fostering professional growth and excellence. Advising Emerging Companies: Provide strategic counsel to emerging companies on operational and governance matters, including board and stockholder communications, approvals, and equity award management. Collaboration and Teamwork: Work closely with colleagues across the firm to deliver seamless, high-quality legal services to clients. Qualifications

The ideal candidate will demonstrate the following:

Education: JD or LLM degree from an ABA-accredited law school. Bar Admission: Admission or eligibility for admission in New York or Massachusetts. Experience: At least 4 years of practice experience in venture capital and emerging companies, with deep familiarity in the field. Technical Knowledge: Proficiency in Excel and strong familiarity with capitalization tables. Skills: Exceptional written and oral communication skills. Strong organizational skills and attention to detail. The ability to manage competing priorities and meet deadlines. A collaborative approach to teamwork and professionalism in client interactions. Work Environment

Collaboration is a fundamental aspect of the firm’s culture. Associates are expected to work from the office approximately 60% of the time, in line with the firm’s published guidelines, to foster teamwork and build strong professional relationships.
