Job Description
Performs a broad range of legal assignments including, but not limited to, preparing memoranda, letters, contract, and legislation review/drafting/editing. The Associate Counsel will provide legal guidance and counsel on procurement activities, contracts, intergovernmental agreements, real estate, and related corporate matters. Prepare briefs and memoranda regarding protested/disputed procurements. Perform legal research, draft legal opinions, and provide advice on a variety of legal matters.

Skills and Requirements
ESSENTIAL DUTIES AND RESPONSIBILITIES
1. Performs legal research and drafts legal opinions on matters involving the Authoritys interests.
2. Manage legal matters and coordinate activities of outside counsel from time to time in the areas of Contracts, Procurement, IT/IP, intergovernmental agreements, and other transactional matters.
3. Represents the Authority in disputes with contractors, vendors, and other parties and in regulatory environments such as the Federal Transit Administration.
4. Assists, interprets, and advises the Authority on contracts, resolutions, and other documents requiring legal interpretations.
5. Drafts and reviews contracts for various services to the Authority (e.g., professional services, IT and SaaS contracts, HR, and intellectual property matters, etc.).
6. Provides legal review and counsel and leads contract negotiations for all activities involving procurement of goods and services for the Authority by public solicitation (i.e., bids, proposals, quotes, price proposals, requests for qualifications, unsolicited proposals) or other means.
7. Provides general representation to the Authority as assigned and regularly partners with and interacts with MARTA executives and staff across all MARTAs departments.
8. Prepares and provides seminars and training to various departments of the Authority.
9. Helps support MARTAs mission and Operations Department by serving as a transit ambassador (e.g., answering questions, assisting patrons with questions, passing out information to MARTA employees) at least once per year to enhance the customer riding experience during large or special events in the region.
10. Performs other duties as assigned.
SUPERVISORY RESPONSIBILITIES
May work with and review work of paralegals from time to time.
QUALIFICATIONS

EDUCATION and/or EXPERIENCE
College graduate, LL.B. or J.D. Degree from an accredited law school. Minimum of three years transactional experience, including but not limited to contract negotiation and contract enforcement actions.
LANGUAGE SKILLS
Ability to read, analyze, and interpret common scientific and technical journals, financial reports, and legal documents. Ability to respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community. Ability to write speeches and articles for publication that conform to prescribed style and format. Ability to effectively present information to top management, public groups, and/or boards of directors. null
