JOB DESCRIPTION

Corporate/Contracts Paralegal

The Corporate Paralegal will be assigned to the corporate legal department and will be primarily responsible for preparing and maintaining corporate minute books and assisting in-house counsel in corporate transactions, in addition to the following responsibilities:

General Office/Legal Matters:

Prepare corporate legal documents such as articles of incorporation or organization, bylaws, operating agreements, resolutions, mergers stock and asset transfer documents, and request for EIN. Update and maintain an entity management system for management of minute book records and vital company information for multiple entities. File annual reports of the company’s U.S. subsidiaries to maintain registration in their domestic or foreign states where they are qualified to do business. Provide transactional support in the acquisition of entities and/or assets, financing arrangements, and other organizational transactions, including restructuring of subsidiaries, sale of assets and recapitalization Organize and maintain transaction documents. Organize and maintain multiple ERISA plans and summary plan descriptions. Track, monitor, and assist with various company registrations and/or renewals of permits and licenses. Analyze, research, prepare, and respond to numerous know your customer/anti-money laundering requests and ownership analysis. Support in-house counsel and other members of the law department in various legal matters as requested.

Qualifications:

Minimum five years of experience as a corporate paralegal with a law firm or corporate law department. Knowledge of corporate law, rules & regulations, and corporate governance. Proficiency in Microsoft Office, including Outlook, Excel, and Word. Knowledge of entity management systems is helpful but not required.  Knowledge of iManage or other matter management systems is helpful but not required. Bilingual (Spanish) helpful but not required. Proactive self-starter who able to plan, organize, and complete work with minimal supervision. Ability to work independently and meet tight deadlines. In-depth knowledge of legal terminology and principles, contracts, and policies. Excellent interpersonal and writing skills, and ability to communicate at all levels of the organization. Works well independently and in groups.
