This position primarily focuses on drafting, reviewing, and negotiating sales agreements with customers and vendor contracts with suppliers, providing legal advice to sales and procurement teams, ensuring compliance with relevant laws, and minimizing legal risk associated with commercial transactions within a company, while collaborating closely with various business units to facilitate smooth business operations. 

Contract Drafting and Negotiation: Review, draft, and negotiate sales contracts for all SIS product lines (including master service agreements, orders, professional services agreements) Review, draft, and negotiate vendor contracts (orders, supplier agreements, non-disclosure agreements).  Identify key legal terms and provisions, ensuring contracts align with company policies and legal requirements.  Manage contract record-keeping and ongoing compliance. 

 

Legal Advice and Consultation: Provide legal counsel to sales, procurement, and other relevant teams on contract-related matters, including risk assessment and mitigation strategies.  Advise on compliance issues related to sales and vendor agreements, including data privacy, Anti-Kickback compliance, and intellectual property.  Assist in developing standard contract templates and legal clauses. Risk Management: Identify potential legal risks within contracts and propose solutions to mitigate them.  Monitor industry trends and regulatory changes impacting sales and vendor agreements.  Collaborate with internal stakeholders to develop and implement risk management strategies related to commercial contracts.

 

Stakeholder Management: Build strong working relationships with sales teams, procurement teams, and other internal departments to effectively address legal concerns and support business goals.  Communicate complex legal issues in a clear and concise manner to non-legal stakeholders. 

 

Required Skills and Qualifications: Juris Doctor (JD) degree and active membership in the relevant state bar  Proven experience (minimum 5 years) in commercial contracts, with a focus on sales and vendor agreements  Strong understanding of business law, including contract law, intellectual property. Healthcare industry regulations experience desired. Excellent drafting and negotiation skills  Ability to analyze complex legal issues and provide practical, business-oriented legal advice  Strong communication and interpersonal skills to effectively collaborate with cross-functional teams
