Purpose:  

 

The Corporate Counsel will play a pivotal role in supporting the Chief Legal Officer and senior leadership with a broad range of corporate and commercial legal matters. This includes drafting and negotiating contracts, ensuring compliance with laws and regulations, supporting corporate governance, and contributing to mergers and acquisitions, intellectual property, and employment law strategies.  

By collaborating across departments, the Corporate Counsel will help align legal strategies with business objectives, acting as a trusted advisor who simplifies complex legal issues into clear, actionable solutions. 

 

Responsibilities:  

Support the negotiation, drafting, and review of key contracts and agreements with customers, vendors, and partnersIdentify legal risks across the organization and recommend strategies to mitigate themEnsure compliance with applicable laws and regulations, managing the company’s legal and regulatory risksAssist with mergers, acquisitions, joint ventures, and strategic transactions, including due diligence and negotiationAssist managing the company’s litigation portfolio, working with external counsel to resolve disputes effectivelyAssist managing the company’s intellectual property assets, including trademarks, patents, and copyrights

Required Experience  

Juris Doctor (JD) degree and admission to the bar in Georgia or another US state with the ability to practice law in relevant jurisdictions4-6 years of legal experience, with at least 2 years in an in-house counsel role, including commercial transactions and general business experienceExperience in drafting, reviewing, and negotiating complex commercial contracts.Experience with franchise law is a plus but not required.

Exceptional verbal and written communication skills, with the ability to translate complex legal issues for non-legal stakeholders and negotiate high-stakes agreementsWillingness to learn new areas of law and face new challenges Excellent analytical and problem-solving skills with the ability to provide practical and strategic legal advice. High level of professionalism, integrity, and ethical conduct.
