Job purpose We are seeking a highly skilled Corporate Counsel with a specialization in securities law to join our dynamic legal team. This candidate will report directly to the VP, Chief Compliance Officer, Data Privacy Officer and Assistant Secretary. The ideal candidate will have a strong background in public company experience, regulatory compliance, public offerings, and corporate governance. This role involves providing strategic legal advice to support our business objectives while ensuring adherence to securities regulations. If you are a proactive legal professional with a keen eye for detail and a passion for navigating complex financial transactions, we would love to hear from you. + Securities Law: + Advise on compliance with corporate law, securities rules and regulations, including SEC regulations; monitoring changes to the same. and guidance on various + Responsible for overseeing, preparing and drafting key public filings, including the company’s annual proxy; 8-K, and Form 4s + Collaborate with various cross-functions, including with finance, investor relations, and external advisors to ensure compliance with applicable securities law and ensure accurate and timely disclosure of financial and non-financial information + Researching corporate and securities law matters and corporate governance best practices as needed.Assist in the development and implementation of corporate policies and procedures + Review/revise sections of 10-K and 10-Q + Manage Section 16 filings + Advise and train on policies and procedures, including insider trading + Board, Strategy Board, and stockholder-facing role + Engages with investors regarding governance topics + Support on matters related to board and committee meetings, including preparation of meeting materials, minutes, and resolutions.
