Job purpose
We are seeking a highly skilled Corporate Counsel with a specialization in securities law to join our dynamic legal team. This candidate will report directly to the VP, Chief Compliance Officer, Data Privacy Officer and Assistant Secretary. The ideal candidate will have a strong background in public company experience, regulatory compliance, public offerings, and corporate governance. This role involves providing strategic legal advice to support our business objectives while ensuring adherence to securities regulations. + Securities Law:
+ Advise on compliance with corporate law, securities rules and regulations, including SEC regulations; monitoring changes to the same. and guidance on various
+ Responsible for overseeing, preparing and drafting key public filings, including the company’s annual proxy; 8-K, and Form 4s
+ Collaborate with various cross-functions, including with finance, investor relations, and external advisors to ensure compliance with applicable securities law and ensure accurate and timely disclosure of financial and non-financial information
+ Researching corporate and securities law matters and corporate governance best practices as needed.Assist in the development and implementation of corporate policies and procedures
+ Review/revise sections of 10-K and 10-Q
+ Manage Section 16 filings
+ Advise and train on policies and procedures, including insider trading
+ Board, Strategy Board, and stockholder-facing role
+ Engages with investors regarding governance topics
+ Support on matters related to board and committee meetings, including preparation of meeting materials, minutes, and resolutions. Maintain Board of Director Committee charters and other key corporate governance documents.
+ Transactional and Strategic Support
+ Lead legal aspects of cash management projects, including senior notes offering, tender offers, and credit agreements .
+ Support for other projects as needed, including financing and other corporate transactions, managing due diligence, and the review and negotiation of a broad array of contracts relating to the company’s business.
+ Engage and efficiently manageoutside counsel and other vendor spend
+ oOther duties as assigned by manager
+ Juris Doctor (JD) degree from an accredited law school.
+ Admission in good standing to a State Bar of any jurisdiction in the United States.
+ At least 4 years of substantive legal experience in securities, corporate governance and other public company matters
+ In-depth understanding of federal securities laws and related regulations.
+ Strong analytical and problem-solving skills.
+ Excellent written and verbal communication abilities.
+ A positive attitude, high energy, desire to grow with the business and help maximize opportunities.
+ Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure.
+ Experience maintaining public company reporting processes and procedures.
+ Precision and careful attention to detail.
+ Ability to maintain strict confidentiality of sensitive information.
+ A strong sense of ownership and dedication to personal excellence and improvement.
+ Requires collaboration with cross-functional team to accurately prepare public filings
Preferred Qualifications:
+ Significant experience at a national law firm and/or in-house at a publicly traded company.
+ Familiarity with Regulation S-K and Regulation S-X.

This position will adhere to Global Star Safety Program, including safety rules, practices and training as outlined in the BorgWarner PTC Safety Policy Manual, which includes the use of equipment, protective devices, or clothing that the employer requires. This individual will work in manners that stress the importance of preventing accidents and illnesses. He/she must take every precaution reasonable in the given circumstance for the protection of themselves and coworkers. In addition, he/she is responsible for reporting all injuries and/or possible dangerous situations, incidents, or occurrences to the immediate supervisor.

Salary Range:
$143,200 - $196,900
