Corporate Counsel
As a result of our continued growth, we are seeking candidates for an In-House position as Counsel, Corporate based from our Head Office in Guelph, ON. Job Description We are searching for a Lawyer with a minimum of five years’ experience in Corporate and/or Securities law to support the Corporate Counsel team in providing legal advice and assistance with a specific emphasis on the corporate, general commercial, and securities law aspects of the business (including acquiring, creating, maintaining, reorganizing, and selling, private equity vehicles and related enterprises, assisting with financial and securities offerings, negotiating joint venture arrangements and commercial contracts, implementing complex corporate re-organizations, providing securities law advice, handling regulatory enforcement, and advising on internal compliance programs).  We're looking for an individual who: + Has extensive knowledge of drafting, reviewing, and providing commentary on documentation relating to various business structures. + Has extensive knowledge of the corporate aspects of transactions, including (i) share and unit acquisitions and dispositions and related documents to each; (ii) joint venture arrangements. + Exhibits strong skills in drafting agreements and documents and delivering high quality work. + Experience with offering memorandums, exempt market dealers, National Instruments under the Securities Act or AML/KYC compliance would be considered an important asset. + Is a member in good standing with the Law Society of Ontario or equivalent and licensed to practice law in Canada with a willingness to become licensed in Ontario (required).
