For more information, visit kymetacorp.com What We Need Kymeta is looking for a business-minded Corporate Counsel to join its dynamic legal team. The Corporate Counsel would be responsible for counseling the business on procurement, sales, government contracts and regulatory compliance matters. You will work independently in a fast-paced environment while collaborating with cross-functional teams. The position involves support and counsel on a variety of legal issues and subject matters including government contracts, complex vendor supply agreements, regulatory filings and compliance matters. KEY DUTIES AND RESPONSIBILITIES Contracts and Intellectual Property: Structuring, drafting, negotiating leases, employment contracts, licensing agreements, NDAs, MSAs, SOWs, SaaS agreements, LOIs, and purchase agreements. Managing complicated legal projects and communications across multiple cross-functional teams Developing internal policies, procedures and guidelines, including transactional templates. Guiding the business owners through the internal contracting process. Ensuring risk management by issue spotting and escalating business and legal concerns to the leadership team. Balancing business interests and transactional risks to achieve corporate objectives while managing risks and liabilities. Assist SVP of Legal in working with internal teams and outside counsel regarding administration of patents, trademarks, trade secrets, and copyrights. Other duties as assigned by the SVP of Legal. Compliance: Providing ongoing legal counsel on a wide range of regulatory compliance matters such as export control, EAR, ITAR and FCPA. Monitor changes on industry specific regulations and legal matters and provide advice on compliance with applicable laws and regulations with appropriate risk management strategies. Collaborate with the IT team regarding cybersecurity matters. Corporate Governance: Support the legal and finance teams, and outside counsel to implement various financings including equity, convertible note, and debt financings. Assist the SVP of Legal in preparing Board and Board Audit Committee material and resolutions. QUALIFICATIONS 5+ years of legal experience as a practicing attorney, including at a law firm and/or in-house experience, preferably with technology companies. Experience with export control, EAR, ITAR and FCPA. Demonstrated ability to resolve complex technology contractual issues with substantial experience in contract drafting and negotiation. Excellent interpersonal, verbal and written communication skills, as well as a highly developed ability to manage a steady stream of information. Highly organized and detail oriented with an ability to handle multiple tasks simultaneously with a high degree of accuracy and to prioritize workload in a fast-paced environment to meet deadlines. Ability to work successfully and independently under pressure and handle all situations with a high degree of professionalism. Proficiency with contract management systems (e.g., Juro, Ironclad). Confidence and ability to identify, analyze, develop and implement creative, smart and sound solutions to difficult problems and challenges in ambiguous situations. Flexible attitude with respect to work assignments and learning new subjects, with a client-focused approach to work. Experience working in a startup environment is a plus. US Citizenship required & Government security clearance is a plus. Strong knowledge of FARs and DFARs regulations is a plus. Ability to use standard Microsoft applications including Word, Office, Excel and Power Point. EDUCATION and Certification Juris Doctorate from an accredited university WSBA or other State Bar membership. COMPENSATION Kymeta is committed to fair and equitable compensation practices. In the spirit of pay transparency, we have determined the salary range for this position to be $140,000 - $240,000. This is the full base salary range for the role. Hiring at the maximum of the range would be atypical, in order to allow for future and continued salary growth. Compensation packages are based on a variety of factors unique to each candidate, including but not limited to: skill set, years and depth of experience, certifications, and geography. The total compensation package for this position includes an annual target bonus of 10%, stock options, and benefits listed below.
