Corporate Counsel (Generalist)

Overview:  

Inovalon is seeking a Corporate Counsel who will be responsible for a broad array of range of commercial, privacy, compliance, litigation and general legal matters. This role will further act as a resource to others in the Legal and Compliance Department and work closely with internal business clients on various contractual and regulatory matters.

Duties and Responsibilities:

Draft, negotiate and advise on a variety of commercial contracts to include master service agreements and related documents, SaaS, vendor agreements, non-disclosure agreements and other transactional documents; Provide commercial legal advice to Sales, Product, and Enterprise Procurement teams; Work cross-functionally with business leaders to ensure that contractual terms are compliant with legal and regulatory requirements and company policies; Review and recommend approaches to resolve the privacy aspects of client and vendor contracts; Coordinate and assist with privacy-related compliance activities, risk assessment, incident response and related requirements; Assist with managing and resolving lawsuits, arbitrations and pre-litigation disputes; Assist with developing and managing Inovalon’s responses to third-party requests for information; and manage litigation holds, electronic discovery and other related topics; Provide subject matter expertise on regulatory and industry developments, including the proactive identification and mitigation of regulatory risk; Undertake special projects and investigations, and support legal and compliance program initiatives; Work cross-functionally with business leaders to ensure that contractual terms are compliant with legal and regulatory requirements and company policies; Perform legal research, as necessary, and provide legal advice and counsel on a variety of business topics to include healthcare regulations, data privacy and data use and intellectual property; Serve as a Legal Department representative for various corporate initiatives, executive-sponsored special projects and on cross-functional teams; Perform legal research, as necessary, and provide legal advice and counsel on a variety of business topics to include healthcare regulations, data privacy and data use, intellectual property, compliance; Maintain compliance with Inovalon’s policies, procedures and mission statement; Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving the operational and financial success of the Company.

 

Job Requirements:

A minimum of five (5) years’ experience as a practicing attorney with at least two (2) years of experience working at a law firm, corporate legal department or similar organization. Experience with of a variety of legal areas including commercial law and litigation matters. Demonstrated experience in commercial contracting or general corporate transactions, including drafting, reviewing, negotiating and advising business partners. Experience with SaaS and technology contracts is a plus. Subject matter expertise in litigation, including motions, pleadings, and discovery (including eDiscovery). Substantive experience with and knowledge of federal and state laws and regulations related to health care information security and privacy. Experience with a healthcare company or companies within another regulated industry is preferred but not required. A self-starter who is detail oriented and able to work independently in a fast-paced and dynamic work environment with minimal supervision. Must have strong analytical, communication, and collaboration skills and the ability to effectively communicate with senior management; and Must be able to communicate clearly and professionally in writing and orally.

 

Education:

J.D. from an accredited law school and licensed to practice law in any US state or the District of Columbia.

 

Physical Demands and Work Environment:

Sedentary work (i.e., sitting for long periods of time); Exerting up to 10 pounds of force occasionally and/or negligible amount of force; Frequently or constantly to lift, carry push, pull or otherwise move objects and repetitive motions; Subject to inside environmental conditions; and Up to approximately 10% travel may be required.

The actual base pay offered may vary depending on multiple factors including, but not limited to, job-related knowledge/skills, experience, business needs, geographical location, and internal equity.  At Inovalon, it is not typical for an individual to be hired at or near the top end of the range for their role, and compensation decisions are dependent upon the facts and circumstances of each position and candidate.

Base Compensation Range$145,100—$180,000 USD
