Corporate Governance Specialist

Who we are:

American International Group, Inc. (NYSE: AIG) is seeking an experienced Corporate Governance Specialist/Paralegal to join its legal department in New York.   This position is based in New York City.

About the role:

The primary role will be to assist with public company corporate governance matters, including preparation for board, committee and shareholder meetings and director compensation. This person will be one of two dedicated paralegals for such matters and will report to a senior member of the Corporate Secretary’s Office.

Specific Responsibilities Include:

Draft and revise corporate resolutions, consents, notices, agendas, minutes, filings and other corporate governance documentation

Maintain corporate legal records, minute books, calendars and playbooks

Assist with preparation for board, board committee and shareholder meetings and distribute meeting materials

Manage board compensation matters, including delivery of director fees and equity compensation and management of deferral election process

Support shareholder engagement

Assist with director questionnaires and independence and related party transactions analyses

Assist with compliance and regulatory filings, including the Proxy Statement, Annual Report and New York Stock Exchange submissions

Oversee service and platforms of third-party corporate governance service providers;

Maintain Board-related subscriptions and Board organizational dues

Draft and distribute communications under the name of the Corporate Secretary

Create and maintain MS Excel documents and PowerPoint presentations and assist in management of board portal

Collaborate with, and serve as a point of contact for internal teams seeking input on Board-related or corporate governance matters

Provide paralegal support to the broader Corporate Legal group as needed

Perform other related duties and ad hoc projects as required

Qualifications:

Significant corporate governance experience inclusive of board of director support, shareholder support and corporate policy work

6+ years of relevant experience with a major public corporation and/or law firm

Insurance industry specific experience a plus

Experience with Diligent Boards and Diligent Entities a plus

Self-starter who can work with minimal supervision

Ability to coordinate complex tasks with multiple stakeholders

Superior organization skills and attention to detail

Excellent communications skills

Demonstrated ability to work in a fast-paced environment with a strong focus on collaboration

Bachelor's degree or paralegal certificate preferred

For positions based in NYC, the base salary range is $115,000 - $125,000. In addition, the position is eligible for a bonus in accordance with the terms of the applicable incentive plan.
