Job Summary

This position will report to the VP Associate General Counsel - Securities Law and Corporate Transactions & Corporate Secretary. As a key member of the Corporate Secretary team, this position is responsible for providing a broad range of paralegal support to attorneys and collaborating with other members of the Vistra team. This Legal Specialist will handle important and confidential matters, collaborate effectively across teams, and have the technical skills and professional maturity to anticipate and initiate legal tasks independently and under the direction and oversight of attorneys.

Job Description

Key Accountabilities

Oversee entity management and all aspects of subsidiary governance, including managing entity database and corporate minute books.Prepare all documents required to form and maintain corporations, partnerships and limited liability companies.Prepare documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and limited liability companies.Oversee and maintain entity annual reporting, foreign qualifications, and DBAs.Draft secretary's certificates, bylaws, operating agreements and resolutions.Prepare and maintain various periodic reports regarding our subsidiaries, including organizational charts and officer and director appointments.Provide general support for M&A and financing transactions, including handling data rooms, responding to due diligence requests, and assisting with closing documents.Assist with Board meeting preparation and logistics.

Education, Experience, & Skill Requirements

Bachelor’s degree or paralegal certification preferredMinimum 4+ years of general corporate paralegal experience, with at least 1 year experience at a U.S. publicly-traded company preferredSubsidiary governance and entity management experience required. Corporate governance and/or securities experience preferred.Excellent attention to detail and organization skillsResourceful self-starter with excellent problem-solving capabilities and communication (written and verbal) skillsProcess-oriented, able to multi-task, team player and ability to work independently with limited oversightMaintain confidentiality of sensitive information

Key Metrics

Provide timely responses to clients’ and internal requests for information relating to corporate actions and recordsEnsure compliance across entire corporate entity structureTimely review and drafting of corporate documentsMonitor and communicate project status to keep stakeholders on schedule to meet timelines
