Corporate Paralegal

Position Overview

Perform various legal and administrative services and duties within the Legal and Compliance Department under the general supervision of the Director of Contracts Administration.  Manage and oversee all stages of corporate compliance, corporate transactions, credit facility compliance, intellectual property, internal/external audit assistance, contracts administration, department billing/invoicing and the preparation of documents necessary to comply with federal, state and local regulations.  Position reports to Director of Contracts Administration and also supports Legal and Risk Management functions.  Create legal department policy with respect to the administration of legal services throughout the organization. 

Key Job Responsibilities

Corporate Compliance – Corp Books and Records, Licenses/Permits, Credit Facility

Maintain and keep updated all Corporate Books and Records including Minute Books, shareholder/ownership schedules for all domestic and internal subsidiaries.  Draft annual resolutions to appoint officers, maintain annual corporate filings /foreign qualifications for each jurisdiction.  Maintain and track all powers of attorney.  Prepare and update corporate information book noting corporate structure, officers/ directors, federal ID numbers and dba’s. Prepare corporate resolutions for new or revised bank accounts, obtain all director/officer signatures and prepares bank account signature cards and bank form resolutions.  

Contract Administration – T&C’s, Service Agreements, NDA’s

Manage incoming contract requests including the preparation, review and negotiation of terms and conditions, service agreements, confidentiality and non-disclosure agreements.  Assist hotel sales/directors and the Director of Contracts Administration in the drafting, amendment and/or renewal of all customer service agreements.  Prepare final contracts for signature, draft transmittal correspondence and follow up return of fully executed document.  

Transactional - Corporate Finance, Commercial Transactions

Administer corporate transactions including financing and refinancing, credit facility amendment and waivers, asset sales, purchase and sales of businesses, preparing and organizing requested documents (at times using electronic databases) in all phases of a transaction including lender/buyer/seller due diligence, document preparation and closing the transaction, prepare powers of attorney, corporate resolutions, resolutions to complete a transaction, notarize documents as necessary.  

Litigation

Track incoming and active litigation including EEOC charges, garnishments, insurance related litigation.   Coordinate case management with outside counsel and provide litigation support as requested. 

Intellectual Property – Trademarks, Logos, License Agreements, Marketing Review

Work with outside counsel to file new applications.  Review marketing materials to ensure they comply with filed and pending trademarks and logos.  Monitor written and electronic media for trademark usage.  Research and investigate all reported or identified misuse or infringement of company trademarks.  Track, prepare and negotiate license agreements as requested by operations personnel or others.   

Job Qualifications

• 2+ years experience working in a corporate legal department or law firm environment 

• Prior Legal Admin experience and/or paralegal experience is required

• Strong administration skills using MS Office Suite (Word, Excel)

• Preference for Notary 

• Minimum HS Education or 2-year college Degree plus Paralegal Certificate

Work Environment

Office

Work is generally performed at an office that is moderately quiet.  Team members will occasionally visit other work locations for meetings or for other business reasons. Working times will include days and may include evenings, weekends and holidays.  Team members must adhere to appearance guidelines as defined by Encore.

Salary Pay Range: $78,724.00 - $96,437.00

The compensation offered for this role is determined based on the qualifications outlined in the job posting for the specified location. Final compensation is based on a number of factors including location, travel, relevant work experience, or particular skills and expertise. In addition, some positions may be eligible for other compensation such as potential overtime, bonuses or incentives.
