Description Robert Half is partnering with a highly respected law firm that is looking to add a Corporate Paralegal to their team in Chicago. Responsibilities: + Maintaining, preparing and filing corporate documents and records including resolutions, board of director changes, annual reports, etc. + Drafting, filing and managing various business entity documents for corporations, LLCs and partnerships such as articles of incorporation or dissolution, stock certificates and other documents related to the formation of new corporate entities. + Providing contract support for standard corporate agreements, such as non-disclosure agreements, bills of sale, secretaries/closing certificates, and closing checklists. + Providing administrative support for attorneys and activities related to corporate transactions, including mergers, acquisitions, formations, dissolutions, closings, entity foreign qualifications, DBAs, consularizations/apostilles, and obtaining EINs. + Coordinating due diligence for a variety of corporate and M& A transactions. + Managing, preparing and distributing annual reports and audit letter requests. + Working with other members of the legal team on special projects and initiatives.
