We are seeking an experienced Corporate Paralegal to join our client's Oakland office (2–3 days in-office per week) and assist a team of transactional lawyers representing well-regarded enterprise clients in industries such as healthcare, public utilities, and education. From managing corporate governance and M& A due diligence to contributing to public finance deals and contracts administration, you’ll play a central role in ensuring top-quality service for our distinguished client base. What You'll Do: + Corporate Governance: Facilitate entity formation and maintenance, Secretary of State filings, corporate recordkeeping, and preparation of key documents such as minutes and articles of incorporation. + Transaction Support: Oversee deal checklists, organize due diligence materials, manage virtual data rooms, and assist in drafting and assembling closing binders for M& A and public finance transactions. + Contracts Administration: Review contracts, track redlines, proofread final agreements, and handle signature page execution. + Collaboration: Work closely with attorneys and clients, ensuring seamless communication and exceptional service delivery. Requirements What We're Looking For: + At least 2+ years of corporate or transactional paralegal experience (experience in contracts assembly/proofreading is a big plus). + A college degree and/or Paralegal Certificate, with preference for candidates highly skilled in organization, writing, editing, and communication. + Someone who thrives in a collaborative setting, enjoys issue-spotting and problem-solving, and approaches their work with professionalism, attention to detail, and enthusiasm to grow.
