Corporate Paralegal

What You’ll Be Doing: As a Corporate Paralegal, you will play a critical role in supporting the legal department with tasks including, but not limited to: + Corporate Governance: Assist in the preparation and maintenance of corporate records, including resolutions, minutes of meetings, and organizational documents for the corporation and its subsidiaries. + Compliance: Monitor and ensure compliance with corporate policies, filings, and regulations, including Secretary of State filings, registrations, and licensing requirements. + Transactional Support: Provide assistance with mergers, acquisitions, and other corporate transactions by organizing and reviewing contracts, due diligence materials, and closing documents. + Contract Management: Draft, review, and manage a variety of corporate contracts, including NDAs, vendor agreements, and service contracts. + Legal Research: Conduct research on applicable laws, regulations, and corporate compliance standards to support the legal team. + General Support: Provide administrative assistance to attorneys, manage document databases, and maintain relevant legal files and calendars. Requirements Requirements: + Minimum of 3+ years of corporate or in-house legal experience with a focus on corporate governance, transactions, or compliance. + Paralegal Certificate and/or bachelor’s degree in legal studies, business, or a related field. + Exceptional organizational and time-management skills, with the ability to manage multiple priorities and deadlines. + Strong written and verbal communication abilities. + Proficiency in legal research tools (Westlaw, LexisNexis) and document management programs (such as iManage or SharePoint). + Experience working in a corporate legal department or advising corporations on governance and compliance issues. + Familiarity with California laws and regulatory requirements.
