Corporate Paralegal & Administrative Assistant

Paralegal Responsibilities:

Drafts, reviews, and negotiates agreements and escalates issues if necessary. Research regulatory matters Drafts policy updates Prepares disclosure schedules to credit agreements, M&A agreements, and other corporate transactional agreements. Coordinates closing deliveries (including obtaining signatures) for financing, real estate, and corporate transactions. Prepares and/or reviews corporate authority documents in conjunction with the Staples legal department. Assists with fact-gathering and legal investigations, including in connection with discovery requests. Provides other support for investigations and litigation, including through use of O365 Advanced E-Discovery Tools. Completes various insurance renewal applications, working with Risk Management and internal subject matter experts Manages process for responses to records subpoenas Shares responsibility for monitoring of department email inboxes Reviews, analyzes, and organizes data and information. Prepares summaries and presentations. Understands and demonstrates Essendant’s Values and Guiding Principles. Performs other duties as assigned.

Administrative Responsibilities:

Maintains legal budget documents, manages monthly accrual process, and prepares interim reporting as requested Manages department records Manages litigation log and quarterly updates to Contingent Liability Report Provides department training and support for all computer and other technology for both hardware and software questions and repair issues.  Administrator for the Document Management program and e-billing platform used exclusively by the legal department Administers company legal hold process in conjunction with IT partners. Receives and processes all invoices from outside law firms and other vendors. Pilots’ new software and technology for use by others in the legal department.

Skills/Knowledge:

Strong attention to detail Excellent computer and technology skills, especially with Microsoft Office products (Outlook, Word, Excel, etc.) Possesses and applies a broad basic knowledge of principles, practices, and procedures of the law as it applies to the organization. Ability to work independently and as a team player. Demonstrated ability to work efficiently under conditions of multiple deadlines and changing priorities to produce a large volume of high-quality material with meticulous attention to detail. Works productively in an environment with high levels of interruption. Works independently, with little supervision, after orientation and training. Makes sound decisions. Demonstrates a strong customer-service orientation in all interactions. Analytical and critical thinking skills sufficient to make decisions regarding daily work that is complex in nature. Communicates effectively with all levels of management and external customers and contacts. Strong writing, organization, and research skills.

Education/Experience:

Associate degree or Certificate in Paralegal Studies, or equivalent work experience. Experience in a law firm or corporate law department is preferred.
