The Eastern Bank Legal Department seeks a motivated and experienced paralegal with strong professional credentials to join the team as Corporate & Securities Paralegal. The Legal Department provides legal advice and support to Eastern Bankshares, Inc. and its affiliates, including Eastern Bank. The Corporate & Securities Paralegal will report directly to the General Counsel or her designee and will work closely with colleagues in the Legal, Finance and Investor Relations departments on various matters, with a focus on corporate governance and securities matters. Ideal candidates should be experienced in SEC and NASDAQ compliance, collaborating with business teams and managing filings and other workflows.
A key focus for this position will be to support Eastern’s business and legal strategy by supporting SEC filings and managing internal procedures related to SEC, NASDAQ and other public company matters, including insider trading and shareholder meetings.
The primary duties and responsibilities of the Corporate & Securities Paralegal will include:
Managing and maintaining an organized process and workflow for company’s compliance with SEC and NASDAQ requirements; Supporting various SEC filings, including proxy statements, 8-Ks, 10-Qs,10-Ks, Forms 3, 4 and 144, and maintaining record books of filings; Administering the insider trading policy, including managing, organizing and tracking trading window logistics, access person list and communications, trading pre-clearances, and 10b5-1 trading plans; Administering Board level compliance surveys, managing results and quarterly communications; Coordinating the annual shareholder meeting and any special meetings; Managing the D&O questionnaire preparation, distribution and collection; Assisting lawyers on various corporate governance and securities matters; Gathering minutes and litigation summaries and preparing legal letters and responses to auditors' requests for information; Processing vendor invoices and supporting billing relationships; Reviewing current processes and, in consultation with colleagues, revising processes to address regulatory changes, efficiencies or weaknesses.Education and Experience
The applicant should have:
A minimum of five years’ working experience with paralegal, legal operations or similar experience supporting a public company (banking industry preferred); Paralegal certification a plus; Extensive working knowledge of relevant laws, regulations and rules with respect to public company governance and securities laws strongly preferred; Ability to work with detailed information accurately and efficiently; Relevant computer software knowledge and experience, including Excel, Diligent Boards, W Desk, EDGAR, and PowerPoint Ability to work comfortably with all levels of internal clients and outside legal professionals; Proven ability to juggle multiple competing deadlines in a fast-paced environment; Excellent verbal and written communication skills; and Strong process orientation to manage workflow.This is a hybrid position with the ability to work from home and the expectation to work in the office (Boston) at least three days per week.
