To act as Director to the joint Boards and Committees of BUSLLC and BBDE. The role involves liaising with the relevant Directors and management in order to plan and execute Board and Committee meetings, as well as ensuring their effective operation in accordance with local law, regulation and best practice. Reporting to the BUSLLC and BBDE Company Secretary, the role will also involve providing advice and support in relation to corporate governance matters and external reporting.

Flexibility and adaptability to a varying workload will be of the major importance in this role, including with respect to working hours and being prepared to provide support for urgent deliverables. Some travel to meetings outside New York will at times be required. The highest levels of attention to detail is required and the ability to manage a number of competing priorities and manage team colleagues is essential.

Qualifications/Knowledge/Experience

Law or top-level business or bachelor degree.Proven banking, financial, corporate or legal experience.Demonstrated, sophisticated corporate secretary and governance experience working with external directors, preferably in a complex financial institution, or prior experience supporting or advising highly regulated entities, with a strong awareness of the dimensions of legal and regulatory risk.Experience in writing and producing high-quality Board and Committee meeting minutes, or drafting and preparing legal documentation, or executive-level briefing papers/aide memoires, with minimal oversight.Knowledge of relevant legal and regulatory requirements a plus, particularly Delaware business law, FRB, SEC, FDIC and FINRA regulations.Proven people management skills, including delegation, motivation and performance management.Driving the performance of junior colleagues and managing resources.Experience in managing and setting deadlines for projects/actions that are generated within the team or generated externally that requires team input(s).High level of PC skills including Word, Excel, PowerPoint, Outlook;Working knowledge of Diligent Boardbooks or similar a plus.

Minimum Salary:​ $235,000

Maximum Salary: $287,000
The minimum and maximum salary/rate information above include only base salary or base hourly rate. It does not include any another type of compensation or benefits that may be available.

Purpose of the role

To play a crucial role in ensuring the Barclays Group’s adherence to statutory and regulatory corporate governance requirements and industry standards, facilitating communication between the board of directors and other key stakeholders for regulated and/or significant Barclays Group legal entities. 

Accountabilities

Act as Company Secretary to regulated or significant legal entities, including liaison with the Chairman and senior executives, assisting with board succession and board and committee evaluations, agenda preparation, board paper management, attending and minuting board meetings where required.Provision of support, advice and guidance to the Barclays Group on company law and appropriate regulations, its own policies and best practice in corporate governance and to the Directors on their fiduciary duties and other legal or regulatory obligations.Creation and review of corporate governance documents, including charters, terms of reference, matters reserved for the board, policies, and procedures in compliance with legal and regulatory requirements.Maintenance of compliance with corporate governance requirements, best practices and industry standards across the Barclays Group governance practices.Assistance on project work, for instance corporate re-organisations, liquidations, mergers and formations and the signing of subsidiary financial accounts.Maintenance of the company’s statutory registers, other registers such as conflict of interest registers, and data fields required for adherence to Barclays Group policies and standards .Stakeholders support with their ongoing compliance with the Group Policy on Legal Entities and Directors.
