Role Summary The Counsel, Corporate Governance will support Rivian’s Board of Directors and corporate governance requirements. We are looking for an individual who can work independently but collaboratively in a fast-paced and collegial team environment, demonstrates sound business and legal judgment, and can prioritize and manage multiple projects on a broad array of topics. Rivian’s Counsel, Corporate Governance will report to the Associate General Counsel, Corporate Governance and Securities and will work with other members of the Legal Team and the organization to ensure that Rivian complies with corporate governance requirements. Responsibilities Supporting the Board of Directors and Board Committees, including working with Committee liaisons and supporting the drafting of meeting agendas, materials and minutes Drafting and review of documentation and materials in respect of corporate governance requirements and compliance with Nasdaq and the Securities and Exchange Commission, including (i) drafting Board of Directors and Board Committee charters, documentation, consents, resolutions and D&O questionnaires, (ii) drafting and managing all policies and procedures relating to the corporate and organizational governance of the Rivian group, and (iii) analyzing and tracking related party transactions on a group-wide basis Supporting subsidiary management, including maintaining compliance with corporate filings, international reporting requirements and assisting with intercompany transactions Supporting related areas including public company legal and securities compliance, Rivian’s annual stockholders meeting, the preclearance review and approval process, the securities and capitalization table management function, and Rivian’s Treasury department Provide support to Rivian’s Treasury department, including capital markets and securities/debt offerings, credit agreements and monitoring covenant compliance under the company’s credit facility and indentures Develop and maintain relationships with internal and external stakeholders, including communications, investor relations and outside counsel Qualifications Must have a J.D. degree from an ABA-approved law school, and an active member in good standing of the California Bar or eligibility for in-house counsel registration At least three (3) years of corporate governance experience Strong leadership and communication skills Excellent drafting and negotiation skills, with attention to detail Ability to thrive in a fast-paced environment Ability to work independently and with cross-functional clients Pay Disclosure Salary Range for Palo Alto, CA based applicants: $146,000 - $183,000 annually (Actual compensation will be determined based on experience, location and other factors permitted by law). Salary Range for Irvine, CA based applicants: $135,000 - $168,000 annually (Actual compensation will be determined based on experience, location and other factors permitted by law). Full Time Employee coverage is effective on the first day of employment. Part-Time employee coverage is effective the first of the month following 90 days of employment.
