Date: Sep 19, 2024 Location: San Juan, PR Company: Popular Workplace Type: Hybrid Counsel General Description Drafting, reviewing, negotiating and managing complex contracts and agreements for various purposes with clients, vendors and partners. Provide legal advice and guidance to the business on contract-related matters, such as compliance, risk management, dispute resolution, cybersecurity, data privacy and other procurement matters. Essential Duties and Responsibilities + Drafting contracts, agreements and other commercial and transactional documents that are compliant with applicable laws, regulations, and policies and that are in the best interest of the company + Reviewing contracts prepared by other parties and identifying any potential risks, issues, or inconsistencies. + Negotiating contracts with other parties and ensuring that the terms and conditions are fair, reasonable and beneficial for the company. + Managing contracts throughout their lifecycle and ensuring that they are properly executed, filed, updated, and terminated. + Develop and implement company policies and procedures for contract management and administration + Monitoring the performance and compliance of contracts and resolving any disputes or problems that may arise. + Advising the business on the legal implications and consequences of the contracts and providing guidance on best practices and strategies. + Researching and analyzing the relevant laws, regulations and industry standards and staying updated on any changes or developments. + Collaborating and communicating with other legal professionals, business units, and stakeholders involved in the contracts process. + Performing any other duties assigned. Education Juris Doctor from an ABA-accredited law school. Certifications/ Licenses Admitted to practice law and licensed as a Notary Public in the Commonwealth of Puerto Rico. Experience A minimum of five years of experience as an in-house or law firm counsel focused on contract and corporate law. Knowledge, Skills and Abilities (KSA's) + Strong legal writing skills + Fluent in English and Spanish. + Excellent organizational skills and ability to manage multiple projects and work independently in a fast­ paced environment and meet aggressive deadlines. + Excellent interpersonal relationships and teamwork skills. + Strong business acumen and a proactive approach to problem-solving + Strong analytical skills and attention to detail + Extensive knowledge in contract and corporate law + Vast experience negotiating complex contracts and transactional documents + Ability to share information and responsibilities to achieve common division goals. + Identify opportunities and potential solutions to complex matters. + Strong client-relations skills and ability to partner with others in order to develop practical solutions that meet business needs while remaining compliant with applicable laws and regulations + Proficiency in Microsoft Office, Word, Excel and PowerPoint + Strong work ethic. Work Schedule Monday-Friday from 9:00 am to 6:00 pm. Must be available to work extended hours, holidays and weekends (if necessary).
