Assist the General Counsel and Deputy General Counsel in proactively providing legal advice and support on laws, regulations and compliance matters. Act as a trusted advisor for assigned matters related to the implementation of strategy, process, and product.
Essential Duties & Responsibilities
Legal Advice: Proactively provide legal advice and support in relation to all legal matters. Identify potential legal issues related to business practices and policies and advise client/management.
M&A: Provide support for M&A transactions, including working with different Departments of the Company on deal structure and LOI terms, planning and assisting in due diligence. Provide support on real estate, corporate, commercial, and other transactions and special projects.
Wording and Contracts: Proactively review and/or create contract wording or other legal documents for assigned Business Units giving consideration to compliance and reduction of risk.
Vendor Contract: Review, draft, and negotiate all manner of commercial contracts, including, but not limited to, master service agreements and other vendor contracts.
Litigation: Proactively lead and steer litigated and regulatory matters. Work to resolve claims and disputes prior to litigation.
Relationship Management: Act as Company representative to outside counsel to ensure the effectiveness and alignment of outside counsel with Company objectives.
Corporate Governance/Compliance: Proactively provide advice and support to implement corporate governance requirements/compliance programs and actions. Develop and review corporate governance and compliance procedures.
Continuous Improvement: Assist in developing new procedures, policies and rules that may be in the interest of Confie including continuous improvements for legal operations.
Keep abreast of changing laws and regulations that may affect Confie and inform management of same.
Qualifications & Education Requirements
Juris Doctorate degree from an American Bar Association (ABA) accredited law school
3-5 years' experience working in a law firm or corporate legal environment
Demonstrated experience in insurance, compliance, corporate law or litigation
Ability to express ideas and messages clearly both written and verbally
Ability to negotiate and handle conflicts professionally
Sound judgment and ability to analyze situations and information
Ability to create legal defensive or proactive strategies
Knowledge of legal terminology, laws and on-line legal research tools
Highest level of integrity and professionalism
Ability to work independently with little or no supervision
Preferred Skills
Skilled in Microsoft Office application (Word, Excel, PowerPoint, and Outlook)
Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
Possess strong organizational, time management and project management skills
Able to work under pressure and meet deadlines
Able to manage multiple priorities with work assigned from different sources
