Counsel - Treasury & Customer Risk Management

Overview
The Corporate Treasury team performs all global treasury activities for Mastercard, including capital planning analysis, rating agency relationships, foreign exchange risk management and trading, cash management, cash positioning, global funding & liquidity management, cash investments, and various capital markets transactions including credit facility management. Treasury also includes the Global Settlement Services team, which manages the movement of funds related to transactions between Mastercard customers and relationships with settlement agent banks, including central banks.

Customer Risk Management plays a critical role in supporting and driving the success of Mastercard by managing the organization’s credit exposure to financial institutions and other counterparties worldwide through credit analysis and underwriting of customer exposures, and developing risk solutions for new products.

The Counsel will provide support to the lead attorney for Corporate Treasury and Customer Risk Management.

Role Responsibilities

- Legal counsel to global Treasury and Customer Risk Management teams;
- Advise on, draft, and negotiate capital markets transactions and credit facilities;
- Enact the company’s capital management plan by drafting and negotiating investment and trading arrangements, such as ISDA agreements, investment manager agreements, and various bank agreements;
- Advise on and negotiate various types of bank account agreements related to treasury, settlement, and various Mastercard products;
- Advise on and draft intercompany agreements related to intercompany loans, repatriations, dividends, etc.;
- Advise on counterparty risk, including drafting and negotiating both traditional collateral arrangements and out-of-the-box risk solutions;
- Represent and provide legal advice to protect Mastercard in a complex settlement ecosystem; and
- Provide corporate legal support to insurance team.



All About You

- Seasoned lawyer licensed to practice in one or more states, including New York, with extensive experience in drafting and negotiating agreements.
- Relevant post-qualification legal experience in corporate finance and/or bankruptcy in a reputable law firm and/or as in-house counsel for a multinational company, preferably in the financial services or banking sector.
- Interested in being a strategic partner with significant contact with business clients on a daily basis.
- A strategic mindset and able to effectively discuss with and advise management regarding complex legal matters and challenging situations.
- Exercise good commercial judgment, be solutions-oriented and have a creative approach to problem-solving.
- Able to contribute and operate effectively within a diverse multicultural organization.
- A positive “can do” attitude, stress-resistant, and ready to take initiative and go the extra mile.
- A team player who is both organizationally savvy and a strong communicator able to collaborate cross-functionally and across regions and willing to take on responsibilities and roles that support the team.
- Able to work independently.
- Thorough, meticulous, and detail-oriented, but able to effectively prioritize matters.
- Excellent people skills and communication skills a must.

In line with Mastercard’s total compensation philosophy and assuming that the job will be performed in the US, the successful candidate will be offered a competitive base salary based on location, experience and other qualifications for the role and may be eligible for an annual bonus or commissions depending on the role.
