Responsibilities Contract Management & Negotiation: Draft, review, and negotiate a wide range of commercial contracts, including but not limited to:Customer contracts (e.g., commercial, federal, state, local) including RFPs, RFIs, teaming agreementsVendor and supplier agreements (e.g., service agreements, software licenses, SaaS agreements, consulting agreements)Licensing agreements (intellectual property, software, technology)Distribution and supply agreementsSubcontractsProactively identify and mitigate legal and commercial risks associated with all contractual arrangements.Advise business units on contract interpretation, compliance, and enforcement.Litigation & Dispute Resolution: Manage and support the company's litigation and dispute resolution efforts, including employment, labor, and workers' compensation matters.Provide legal counsel and guidance on all aspects of litigation, including discovery, motion practice, and trial preparation.Explore and implement alternative dispute resolution methods, such as mediation and arbitration.Corporate Governance & Compliance: Advise on and support all aspects of corporate governance, including:Preparation of corporate documents (e.g., board resolutions, minutes of meetings, unanimous written consents)Ensuring compliance with all applicable laws and regulations (e.g., corporate governance laws, securities laws)Conduct legal research and provide guidance on a wide range of legal and business issues.Assist in developing and implementing internal policies and procedures to minimize legal risk.Monitor and advise on legal and regulatory developments that may impact the company.Other Legal Matters: Provide legal support on a wide range of other legal matters as needed, including intellectual property, data privacy, and cybersecurity. Qualifications Juris Doctor (J.D.) degree from an accredited law school.Minimum of 10 years of relevant legal experience, preferably with a focus on commercial contracts, corporate law, and litigation.State and/or federal contracting experience.Admitted to practice law in good standing in at least one state.Strong analytical and problem-solving skills with the ability to identify and assess legal and commercial risks.Excellent written and verbal communication, negotiation, and interpersonal skills.Ability to work independently and as part of a team.Strong organizational and time-management skills with the ability to manage multiple projects and deadlines effectively.   Options Apply for this job onlineApplyShareEmail this job to a friendRefer Sorry the Share function is not working properly at this moment.
