The M&A Counsel will act as a subject matter expert and provide guidance on M&A and complex transactions, both domestically and internationally.
Primary Responsibilities:
Providing legal support and guidance for all aspects of mergers, acquisitions, divestitures, select distribution agreements, and other complex transactions.
Drafting, editing, negotiating, reviewing, and interpreting agreements and contracts and proactively handling matters through to resolution.
Providing practical advice to business clients on risks and opportunities arising from complex transactions.
Collaborating with business partners to develop and implement strategies related to business development activity and other complex, enterprise-wide issues.
Working closely with the Legal Operations team in its efforts to understand and control spending on outside counsel services. Timely preparing and providing (as needed or requested) clear, concise communications.
Providing timely and practical advice and counsel to the business on laws, regulations, and Stryker policies.
Initiating, developing, providing and overseeing the implementation of internal processes as well as in-house training and education.
Collaborating and communicating with colleagues, senior management, outside counsel, and other stakeholders on key strategies and issues.
Actively supervising and strategizing with outside counsel.
Assisting on other matters as needed.
Minimum Qualifications:
Law degree and admission to practice law.
Minimum 7 years applicable professional experience; prior professional experience considered (can be a combination of law firm and in-house; in-house experience preferred but not required).

Compensation:
$171,500- $379,000 salary plus bonus eligible + generally eligible for short-term and long-term financial incentives + benefits. Actual minimum and maximum may vary based on location. Individual pay is based on skills, experience, and other relevant factors.
