Responsibilities Job Summary We are seeking a highly skilled Director, Executive Compensation & Public Filing to lead the design, analysis, and administration of executive and board compensation programs. This individual contributor role will be responsible for overseeing all aspects of executive pay, including incentive programs, proxy disclosures, SEC filings, and Compensation Committee support. Reporting to the CHRO, this position requires deep expertise in executive compensation strategy, governance, and compliance to ensure alignment with business objectives, shareholder interests, and regulatory requirements. Responsibilities Executive Compensation & Program Management Design, develop and manage executive compensation programs, including base salary structures, short- and long-term incentives, and equity programs. Adapt compensation strategies in response to shifting business conditions, ensuring competitive and effective pay structures. Conduct benchmarking and market analysis to ensure competitive and equitable executive pay practices. Build strong partnerships with key stakeholders, including HR, finance, legal, and investor relations, to ensure seamless execution of compensation programs. Collaborate with external advisors and compensation consultants to evaluate executive pay practices and market competitiveness. Stay up to date with emerging compensation trends, regulatory changes, and industry best practices, providing insights and recommendation to leadership. Provide recommendations to senior leadership and the CHRO on executive compensation strategy and program effectiveness. Ensure compliance with SEC, IRS, and other regulatory requirements related to executive compensation. Manage the administration of executive compensation programs, including stock and deferred compensation programs Manage the review process of executive-level promotions, new hire offers and compensation reviews Proxy Disclosures & Public Filings Lead the preparation of executive compensation disclosures for the annual proxy statement, including CD&A (Compensation Discussion & Analysis), CEO pay ratio, and pay-for-performance disclosures. Partner with legal, finance, and investor relations teams to ensure accurate and transparent public reporting of executive compensation. Stay up to date on SEC regulations, governance trends, and investor expectations related to executive compensation disclosures. Ensure accurate and timely public filings related to executive compensation, including SEC filings (e.g., Forms 10-K, 8-K, and Section 16 filings such as Forms 3, 4, and 5). Board & Compensation Committee Support Prepare materials and analyses for the Compensation Committee and Board of Directors, ensuring clear, data-driven insights. Work closely with external compensation consultants to evaluate and refine executive pay structures. Maintain governance documentation related to executive and board compensation policies and decisions. Regulatory Compliance & Governance Monitor evolving regulatory and governance changes related to executive compensation and provide strategic recommendations. Ensure compliance with Dodd-Frank, SEC disclosure rules, IRS tax regulations (such as 409A and 162(m)), and other relevant laws. Support shareholder engagement efforts by addressing investor concerns on executive pay practices. Performance Management & Alignment Work closely with senior leadership to ensure that executive compensation programs are tied to company performance, individual performance metrics, and shareholder value creation. Assist in setting appropriate performance targets and aligning compensation with both short-term and long-term business objectives. Qualifications Education Bachelor’s degree in Human Resources, Business Administration, Finance, or related field. MBA or advanced degree in a relevant field preferred. Experience 7-10 years’ experience in executive compensation, including exposure to proxy preparation and board compensation. Proven experience in designing and administering executive compensation programs, including base salary, incentive compensation, and equity-based plans. In-depth knowledge of compensation laws and regulations, including SEC, IRS, and tax-related matters. Excellent communication and presentation skills, with the ability to interact effectively with senior executives and board members. High attention to detail and ability to manage multiple priorities in a fast-paced environment. Proficiency in compensation software, HRIS, and Microsoft Excel. Certifications Certification in compensation (e.g., CCP, GRP) is a plus. Specialized Skills & Competencies Strong analytical skills with the ability to interpret compensation data and market trends. Excellent communication skills, with the ability to present complex compensation concepts to senior executives, the Board, and other stakeholders. Ability to collaborate effectively with cross-functional teams and external stakeholders (e.g., compensation consultants, legal advisors). Strong problem-solving abilities and attention to detail. Ability to make sound decisions in complex situations, balancing multiple competing interests (e.g., cost considerations, market competitiveness, regulatory compliance, and internal equity). Demonstrates strong discretion and ethical judgment when handling sensitive compensation data and discussions with executives, the Board, and external parties.
