Director of Governance Training & Board Services

 

Role Mission: The Director of Governance Training & Board Services is committed to ensuring that our students have access to excellent educational outcomes by excelling in their unique role which provides governance training for IDEA (TX), executes onboarding and evaluation processes for board members, as well as monitors board member training progress in all entities, and specifically supports the execution of meetings of fiduciary boards, associated committees, for IDEA Florida, Inc., and IDEA Greater Cincinnati Inc. Specifically, the Director of Governance Training & Board Services ensures successful execution, from start to finish, of a streamlined, org-wide board process for moving proposed requests from individual contributors on teams to presentations and action items for committee and board members at meetings of IDEA Florida Inc., and IDEA Greater Cincinnati, Inc.

 

The Director of Governance Training & Board Services ensures board process is used with fidelity by staff across the org by proactively communicating deadlines to internal stakeholders, creating opportunities to provide support to internal staff to meet deadlines, collaborating with key stakeholders in other Chief areas, and by holding internal staff accountable to high expectation regarding the quality of submitted board work and the deadlines by which that work is due. To support external stakeholders associated with each of the boards and committees, the Director of Governance & Board Services-Florida & Greater Cincinnati builds strong relationships with board counsel and members, ensures that consistent communication and collaboration between internal and external stakeholders occurs, and ensures that committees and boards operate with fidelity in accordance with open meeting and public information requirements specific to each entity, as well as board adopted bylaws and policies. 

 

When needed, the Director of Governance Training & Board Services will collaborate with other team members to create/revise and execute procedures, data structures, and associated trainings for public and employee comment at meetings, follow up responses form board to members of the public, and collection of feedback regarding satisfaction of internal and external users as it relates to board services.

 

Location:

This is a full-time (remote/on-site) position based in Texas with preference given to candidates who live in Austin, El Paso, Houston, Permian Basin (Midland/Odessa), Rio Grande Valley, San Antonio, and Tarrant County (Fort Worth), or who are willing to relocate.

 

 

What You’ll Do – Accountabilities:

 

85% Board Member retention for each of the IDEA Florida, Inc. and IDEA Greater Cincinnati, Inc. fiduciary boards; 90% Board Meeting Attendance (Committees and Meetings) for IDEA FL & IDEA GC

Establish strong partnerships with board members that include open lines of communication to better understand their needs, answer their questions, and follow up on requests;Reinforce attendance requirements for board members as set forth in by laws and recruitment/onboarding expectations; Clearly and proactively communicate meeting logistics and any changes (including rationale for changes); Establish quorum for each meeting at least 72 hours prior to meeting;Deliver and manage high quality communication to board members in a consistent and timely manner;Ensure materials are thorough, well documented, and have appropriate briefing sheets to ensure members can process appropriately;Provide pre or post committee and board one on one opportunities should board members have any requests; schedule with all parties (or their representatives) where needed;

 

100% of Board & Committee Meetings for IDEA Florida, Inc. and IDEA Greater Cincinnati, Inc. meet open meeting and public information requirements corresponding to their state law including posting requirements, records retention, and documents available to board members at minimum 72 hours in advance

Ensure that all items for committee/board meetings have successfully completed the internal Board Item process receiving approval from all internal and external stakeholders, where needed, including Finance, Legal Affairs, and Policy Maintain and implement expectations for committee meetings, public hearings, and board meetings to ensure fidelity to open meeting and public information requirements in Florida & Greater CincinnatiEnsure each meeting has quorum at critical checkpoints; 1 week prior, 72 hours, and 24 hours prior to meeting for all meetings; Implement templates for committee and board meetings that are used across teams and entities including templates for internal and external communication, presentations, and rehearsals; for committees these templates will be provided Director of Board Services (TX & LA)Manage on the ground support in FL & GC to meet all posting requirements and provide all materials needed for them to execute committee and board meetings effectively; using templates from IDEA and frequently checking in with FL & GC on ground support; Lead the logistics and execution of internal rehearsals for committee and board meetings for FL & GC; do so by using templates for successful rehearsals from IDEA (TX) (email/Teams reminders, agendas and decks for rehearsals, etc.); Supports post board meeting work in partnership with Administrative Specialist (including taking meeting minutes, compiling signature binders, collecting signatures, and posting materials to internal and external sites) Maintain board member bio and contact information, records of board terms, board and committee meeting materials, and , corporate governance documents for entities in FL & GCSupport submission of items to Florida Department of Education and other local/state agencies, where needed, with department and Superintendent’s office following board meetings, as necessary for IDEA FL, Inc. board membersSupport submission of items to Ohio Department of Education, Fordham, and the state agencies of Ohio where necessary for IDEA GC board/committee; Collaborate with Authorizer Relations team to support submission of items that are needed for authorizers or other state agencies in FL & GC as needed.

 

100% of all Board Members across all entities Meet Training Requirements Annually;

Supports Executive Directors and Chiefs across all entities in executing board recruitment plans in accordance with by laws; (emailing potential board members, following up on connections from Advancement, scheduling touchpoints with Eds/Chiefs and potential candidates)Collaborate with Advancement Team to support the transition of board approved new members to the onboarding process (Advancement recruits, Board Services onboards)Execute onboarding process for all board members across entities in compliance with specific bylaws and state requirements for each entity using the onboarding template Monitor high quality training opportunities provided by external agencies that meet training topics and requirements Connect board members with high quality training opportunities provided by external agencies that meet training topics and are of interest and relevance to board members across all entitiesCoordinate opportunities for board members to attend external meetings and/or training opportunities Plan and execute Annual Board of Directors Retreat in partnership with Advancement Team and other team membersCreate data process/system (like Power BI and/or Dashboard) to be used with internal and external stakeholders tracking progress towards onboarding and training milestonesReport training progress to state agencies as required, where needed for all entitiesImplement and track progress of process/system for board member evaluation in compliance with specific entity bylaws and state requirements across all entities

100% of Officers Meet Governance Training Requirements AnnuallyOwns the district vision for governance training compliance, including how officers are trained, how data is tracked, and accountability and submission to TEADevelops communications plan for all Texas Officers around Texas Governance training requirementsLead cross-departmental collaboration to build a user-centric dashboard that reduces the lift on officers by enabling data to be centrally gathered, displayed, analyzed, and filteredDrives collaboration with Human Assets and Human Resources to hold staff accountable for training requirementsBuild a bank of internal and external training resources that provide governance training minutes and build organizational capacityEnsure that documentation of compliance is correctly submitted to TEA via CSTS in TEAL, collaborating across departments to compile, authenticate, and submit all of the correct information by the annual December 1st deadline

 

 

Staff rate Board Services Team as a 3.0/4.0 on customer service and efficiency

In partnership with Director of Board Services (TX, IPS, & LA) as well as the MD of Governance & Policy, finalize a tool for collecting feedback, tool for data monitoring, and tool for data reporting from internal and external stakeholders as it relates to the customer service and efficiency of the board process; Build strong relationships across internal and external partners to gain qualitative data and feedback on their experience as it relates to customer service and efficiency of board process; Participate and engage in team strategy meetings that provide opportunity to reflect and act on feedback and data collected;

Qualifications:

Education:  Bachelor’s degree required Experience:  3 years of board or governance support and management

Salaries for people entering this role typically fall between $81,800 and $95,800, commensurate with relevant experience and qualifications and in alignment with internal equity. This role is also eligible for performance pay based on organizational performance and goal attainment.
