Position Summary:
The Director of SEC & Employment Counsel will be responsible for overseeing and managing the company’s compliance with securities laws and regulations, as well as providing strategic legal counsel on employment law matters. This role will require a deep understanding of SEC reporting, corporate governance, and executive compensation, as well as expertise in employment-related issues, such as labor relations, employee benefits, and workplace policies. The ideal candidate will have significant experience in SEC Rules and Reporting, and familiarity with employment laws within a corporate environment. The candidate will work closely with senior leadership primarily in Finance and Human Resources to ensure the company's legal compliance and mitigate risk. This position will report directly to the General Counsel.
Key Responsibilities:
Securities Law & SEC Reporting
Ensure compliance with securities laws, rules and regulations by assisting in creating Board and/or Committee materials, as requested.Oversee and manage all SEC filings, including annual and quarterly reports (10-K, 10-Q), proxy statements, Form 8-K filings, and other required filings.Maintain governance policies and practices, including corporate governance guidelines, committee charters and other governing documents.Oversee U.S. entity management governance.Advise members of senior management and the Board of Directors regarding securities and corporate governance activities, trends and best practices, including environmental, social and governance (ESG) developments.Employment Law
Provide legal advice and counsel on a broad range of employment law matters, including but not limited to discrimination, harassment, leaves of absence, and workplace policies.Manage and oversee employment-related litigation, investigations, and disputes, working with outside counsel as necessary.Ensure compliance with federal, state, and local employment laws and regulations, including those related to equal employment opportunity, labor relations, and workplace safety.Corporate Governance & Risk Management
Collaborate with internal stakeholders to develop, maintain, and implement corporate governance policies and practices.Work closely with the compliance team to ensure risk management strategies are in place, particularly in relation to securities and employment matters.Assist with internal investigations as needed, including those related to employee conduct, securities violations, or other legal matters.Qualifications:
J.D. from an accredited law school and licensed to practice law in one or more jurisdictions.10-15 years of legal experience, with significant experience in SEC reporting and employment law, preferably in a public company setting.Strong knowledge of federal and state securities laws, corporate governance principles, and executive compensation regulations.In-depth understanding of employment law and workplace regulations.Proven ability to navigate complex legal issues and provide strategic counsel to senior management and the Board of Directors.Excellent written and verbal communication skills with the ability to effectively communicate legal concepts to non-legal stakeholders.Strong organizational and project management skills, with the ability to handle multiple priorities in a fast-paced environment.Ability to work independently and collaboratively in a dynamic, team-oriented environment.Pay Range:
P90-USA-1 :$156,800.00 - $224,000.00Disclaimer:
