See what it's like to work at GROWMARK: https://youtu.be/CSVMnKCySsY * _PURPOSE AND SUMMARY STATEMENT_* Assumes overall direction for planning, organizing, and directing the legal resources and services for the Corporation. Serves as the chief point of contact for all legal services between GROWMARK and outside counsel. Serves as a member of the Executive Leadership Team (ELT). * _SUPERVISION AND LEADERSHP_* Supervises, leads, and develops the Deputy General Counsel, Assistant General Counsel(s), and the General Counsel Executive Assistant. * _ESSENTIAL JOB FUNCTIONS_* Align the General Counsel Division with the enterprise strategy. Participates in corporate decision-making and strategic planning as a member of the ELT. Provides overall direction for the full range of legal services at all levels of GROWMARK’s operations in the United States and Canada. Provides overall direction for the selection, retention, and leadership of all outside counsel providing legal services to GROWMARK and its affiliates and subsidiaries. Serves as primary legal advisor to the Board of Directors, the CEO, and management staff. Develops creative legal approaches to pursue GROWMARK objectives utilizing outside counsel as needed. Guides management in conducting business within all federal, state, and local laws to manage risks to the Corporation and the Board of Directors. Provides overall direction for establishing and managing legal policies and practices. Recommends policies relating to assigned activities and directs execution upon approval. Provides advice to employees and others on legal elements of their assignments related to the affairs of affiliated interregionals. Serves as assistant corporate secretary and performs duties inherent in the role of a corporate secretary. Provides overall direction and has authority for all Company matters with legal implications and is responsible for all legal issues of the Company. Actively collaborates with the Director of Innovation and other System leaders on strategic discussions, studies, and pilot projects related to innovation; Provides ongoing support and promotion of innovative practices, ideas, and technologies within the team. Demonstrates engagement and adoption of an enterprise level marketing framework and support for FS Brand development. Remains actively engaged in prioritization and monetization of digital strategies. Serves as the corporation’s representative on various boards of directors, professional committees, and advisory boards as directed. Participates in Quarterly Shareholder updates, leads assigned all-employee meetings and participates in GROWMARK Board meetings. * _OTHER JOB FUNCTIONS_* Follows GROWMARK’s Code of Conduct and Corporate Compliance Program, Environmental Health and Safety, OSHA, and DOT policies and procedures as they apply. Performs all other duties as assigned. * _REQUIREMENTS_* Normally requires a JD or LLB from an accredited law school, a license to practice law in Illinois or other states, and 10 or more years of in-house counsel or law firm corporate practice experience, to demonstrate the ability to provide complex corporate legal services, advice, and counsel to the GROWMARK System. Understanding and experience with legal-related areas, including legal management and decision-making, governance, policies and procedures, compliance, risk management, strategic planning, budgeting, and communications. Demonstrates essential abilities, including business knowledge, collaboration, communication, customer focus, decision-making, and skill development. Ability to build professional relationships and partnerships, assess business opportunities, and negotiate appropriate agreements. Proven supervisory and leadership skills, including staffing, orientation, coaching, performance evaluations, training and development, etc., and the ability to achieve results through others. Proven professional management communication, interpersonal, persuasion, and presentation skills. Demonstrated planning, organization, problem-solving, and project management skills. Proven team-building skills and the ability to work independently and in a team-oriented environment. Proven computer skills and the ability to use the computer to enhance business processes. Demonstrated GROWMARK core competencies, including business knowledge, collaboration, communication, customer focus, decision-making, and skill development. Must have and maintain a valid driver’s license and have the ability to travel independently and overnight when necessary. Ability and willingness to participate in required training that may include education on GROWMARK’s policies and procedures as well as additional training related to the requirements of the position.
